What a Franchise Purchase Agreement Covers

A Franchise Purchase Agreement is a legally binding contract that records the sale or transfer of a franchise business, including rights, assets, inventory, goodwill, and any assumed liabilities. It identifies buyer and seller, specifies purchase price and payment terms, lists included and excluded assets, and sets out pre-closing conditions, representations and warranties, indemnities, and post-closing obligations. The agreement often references the Franchise Disclosure Document (FDD) and may include escrow, transition services, and noncompete terms. Where permitted, the document can be executed electronically under the ESIGN Act (15 U.S.C. §7001) and governing state electronic transaction law.

Why a Clear Purchase Agreement Matters

A well-drafted Franchise Purchase Agreement allocates risk, fixes payment mechanics, preserves franchise rights, and provides a roadmap for closing and post-closing transition, reducing the chance of disputes and helping both parties assess tax and regulatory obligations.

Why a Clear Purchase Agreement Matters

Who Typically Prepares and Signs This Agreement

Signatories should confirm authority to bind each entity and coordinate any required investor, lender, or franchisor approvals before execution.

  • Franchisee / Buyer: Reviews FDD, negotiates price and transition terms, secures financing and approvals.
  • Franchisor / Seller: Ensures transfer complies with franchise agreement, FDD disclosures, and any registration obligations.
  • Advisors & Intermediaries: Attorneys, accountants, and brokers assist with due diligence, tax structuring, and regulatory filings.

Core Sections to Include for Full Coverage

A professional Franchise Purchase Agreement groups obligations into discrete, enforceable sections that handle money, assets, promises, and dispute resolution.

Parties & Recitals

Identify legal names, business forms, and context for the transaction; state whether the sale is of assets, stock, or franchise rights; include FRANCHISE DISCLOSURE DOCUMENT references.

Purchase Price

Detail total consideration, allocation among assets, deposits, escrow arrangements, payment schedule, and conditions for price adjustments or holdbacks.

Assets Included

List inventory, fixtures, intellectual property, customer lists, and excluded items; attach a schedule that can be updated through agreed procedures.

Reps & Warranties

Define seller and buyer representations on authority, ownership, compliance with franchise agreement, tax status, and absence of undisclosed liabilities.

Post-Closing Terms

Address transition services, training, staffing, supply contracts, and interim operating covenants needed to maintain franchise continuity after close.

Indemnity & Dispute

Allocate responsibility for breaches, set indemnity caps and survival periods, and specify governing law, venue, and alternative dispute resolution mechanisms.

Key Timing and Deadline Considerations

Track disclosure, diligence, and post-closing timing to avoid regulatory or contractual default.

FDD Delivery:

Deliver Franchise Disclosure Document 14 days before signing per FTC Franchise Rule 16 C.F.R. Part 436

Due Diligence Period:

Commonly 30–60 days to complete inspections, accounting review, and licenses

Closing Date:

Set by agreement; often contingent on financing and franchisor approval

Post-Closing Adjustments:

Specify timeline for inventory counts and purchase price reconciliation

Tax Filings:

Retain documents needed for IRS reporting and possible 1099s

Common Preparation and Execution Pitfalls

  • Failing to attach a detailed asset schedule, leaving inventory and IP undefined and risking post-closing disputes.
  • Missing required FDD timing under the FTC rule, which can expose the parties to rescission or civil penalties.
  • Using inconsistent entity names or titles across documents, which can block bank or registry processing.
  • Overlooking franchisor consent or assignment restrictions that can void the transfer despite a signed purchase agreement.

Potential Consequences of Incorrect or Incomplete Agreements

FTC Noncompliance: Rescission or civil penalties
Tax Exposure: Penalties and reporting adjustments
Transfer Invalidity: Franchisor may refuse assignment
Indemnity Claims: Post-closing financial liability
Delay Costs: Financing or operational interruptions
Recordkeeping Failures: Regulatory audits and sanctions
