What a Franchise Transfer Agreement Is and When It’s Used

A Franchise Transfer Agreement documents the assignment or sale of rights, obligations, and assets associated with a franchised business from one party to another. It typically records parties, the effective date, transfer of goodwill, payment or consideration, ongoing royalty arrangements, assumption of liabilities, and any required consents from the franchisor, landlord, or licensors. The agreement coordinates contractual assignment, regulatory disclosure obligations, and conditions established in the original franchise agreement and the franchisor’s policies to complete a compliant, enforceable transfer.

Why a Clear Transfer Agreement Matters

A well-drafted Franchise Transfer Agreement reduces ambiguity about rights and obligations, documents franchisor consent and lease assignments, sets payment and indemnity terms, and creates an evidentiary record to support regulatory filings, tax reporting, and any lender or landlord requirements.

Why a Clear Transfer Agreement Matters

Who Typically Prepares or Signs This Agreement

Other signatories can include landlords for lease assignments, lenders for collateral releases, and third-party guarantors; each should have clear signature and consent lines.

  • Assignor: existing franchise owner seeking to transfer rights and liabilities to a buyer or assignee.
  • Assignee: incoming franchisee who will assume operations and must accept franchise terms and ongoing royalty obligations.
  • Franchisor/Agent: corporate representative who reviews consent, enforces FDD and registration compliance, and approves the transfer per the franchise agreement.

Core Elements to Include in a Professional Transfer Agreement

Cover all legal, commercial, and operational changes so parties and third parties can rely on a single, complete record of the transfer and its conditions.

Parties

Identify assignor and assignee with legal entity names, corporate form, and principal addresses; include any guarantors or endorsing parties and their roles.

Effective Date

Specify the exact effective date of the assignment and whether obligations run from that date or a closing date; link to performance of closing conditions.

Consideration

Describe payment structure, escrow instructions, holdbacks, adjustments for inventory or receivables, and any continuing royalty allocation.

Franchisor Consent

Record franchisor approval, reference to the Franchise Disclosure Document (FDD) provisions, and any conditions or additional fees required for consent.

Lease and Lien Assignments

Address landlord consent for lease assignments, lien releases or subordination agreements, and steps to record assignments if real estate interests apply.

Reps, Warranties & Indemnities

Include representations about compliance, pending claims, financial statements, and indemnities protecting assignee and franchisor from undisclosed liabilities.

Essential Information to Collect

Legal Names: Full registered names
Entity Type: Corporation, LLC, individual
Addresses: Street, city, state
FDD Reference: FDD date/version
Transfer Consideration: Amount or terms
Effective Date: MM/DD/YYYY

Step-by-Step: Completing the Franchise Transfer Agreement

Follow these practical steps from preparation through final execution to ensure the transfer is documented and enforceable.

  • 01
Gather Documents: Collect franchise agreement, FDD, lease, lender consents, and corporate records.
  • 02
Draft Assignment: Prepare assignment language, payment terms, and reps/warranties.
  • 03
Obtain Consents: Request franchisor, landlord, and lender approvals in writing.
  • 04
Execute and Record: Sign, notarize if required, and distribute executed copies to stakeholders.

Setting Up an Online Workflow for the Transfer

Configure a digital workflow that routes approvals, collects signatures, and preserves an audit trail for regulators and stakeholders.

Field Configuration
Signature Order Assign signers in sequence: franchisor, assignor, assignee, landlord, lender
Authentication Use email plus SMS or knowledge-based checks for higher assurance
Document Attachments Attach FDD, consent letters, lease, and financial statements
Audit Trail Settings Enable timestamps, IP capture, and certificate of completion

Where to Send and File the Executed Agreement

After execution, route final copies to parties, record where legally required, and retain certified copies for compliance and tax purposes.

  • Franchisor Office: Provide original or executed copy to franchisor as required by FDD provisions
  • Landlord/Lessor: Forward lease assignment and landlord consent where lease interests are affected
  • Lender or Secured Parties: Send copies to any lienholders for collateral release or subordination
  • Internal Records: Store executed agreement in corporate records and accounting systems

Digital Signing and Platform Requirements

Ensure the chosen provider supports ESIGN/UETA compliance, stores records reliably, and can produce records suitable for legal or regulatory review.

  • Authentication: Email, SMS, or stronger
  • Document Formats: PDF, DOCX supported
  • Integrations: CRM and storage integrations

Timing Considerations and Key Deadlines

Be aware of notice, tax reporting, and contractual timing obligations that affect transfer timing and downstream filings.

Effective Date vs Closing:

Set and document both dates clearly to control liability and revenue recognition

Franchisor Response Time:

Follow franchisor FDD or agreement deadlines for consent requests

Tax Reporting:

Report gains or transfers per IRS rules and reconcile with year-end accounting

Lease Assignment Deadlines:

Comply with landlord notice periods and any cure or approval windows

Regulatory Filings:

Submit state-required filings promptly where franchise registration applies
