FREELANCE CONTRACTOR AGREEMENT

This Freelance Contractor Agreement ("Agreement") is made as of Effective Date: by and between Client Name: and Contractor Name: .

RECITALS

WHEREAS, Client desires to engage Contractor to perform certain services described herein and Contractor represents that Contractor has the skills, experience, and resources necessary to perform such services;

WHEREAS, Contractor agrees to perform the services as an independent contractor subject to the terms and conditions of this Agreement and not as an employee of Client;

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the performance of services and ownership of work product.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. SCOPE OF SERVICES

1.1 Services. Contractor shall perform the services described in the attached statement of work or as otherwise set forth below. Contractor shall determine the method, details and means of performing the services, subject to Client's reasonable direction concerning deliverables and deadlines.

2. TERM

2.1 Term. The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with Section 11.

3. COMPENSATION

3.1 Fees. Client shall pay Contractor the fees set forth below in consideration for the full, timely, and professional performance of the Services. Fees are exclusive of applicable taxes unless otherwise provided.

4. EXPENSES

4.1 Reimbursable Expenses. Client shall reimburse Contractor for pre-approved, reasonable, and documented out-of-pocket expenses incurred in connection with the Services. Contractor shall submit receipts and such other documentation as Client may reasonably request.

5. TAXES

5.1 Tax Treatment. Contractor is an independent contractor and is solely responsible for all federal, state, and local taxes, contributions and other liabilities related to compensation paid under this Agreement, including but not limited to income taxes, self-employment taxes, and unemployment insurance. Client will not withhold taxes on behalf of Contractor.

6. INDEPENDENT CONTRACTOR

6.1 Status. Contractor shall perform all Services as an independent contractor. Nothing contained in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between the parties. Contractor has no authority to bind Client.

7. CONFIDENTIALITY

7.1 Confidential Information. Contractor shall not disclose or use any Confidential Information of Client except as necessary to perform the Services. Confidential Information includes nonpublic business, technical, financial and customer information disclosed by Client or learned by Contractor in connection with the Services.

7.2 Duration. Contractor's obligations under this Section shall survive termination of this Agreement for a period of years, except as to trade secrets, which shall be protected for as long as they remain trade secrets under applicable law.

8. INTELLECTUAL PROPERTY

8.1 Ownership of Work Product. All original works of authorship and other deliverables created by Contractor specifically for Client under this Agreement (collectively, "Work Product") shall be considered a work made for hire to the fullest extent permitted by law. To the extent any Work Product is not a work made for hire, Contractor hereby irrevocably assigns, transfers and conveys to Client all right, title and interest in and to such Work Product, including all intellectual property rights.

8.2 Pre-Existing Materials. Contractor retains ownership of Contractor's pre-existing materials and tools, but grants Client a nonexclusive, royalty-free, perpetual license to any pre-existing material necessarily contained within the delivered Work Product to the extent required for Client to use the Work Product.

9. WARRANTIES; DISCLAIMERS

9.1 Contractor Warranties. Contractor represents and warrants that (a) Contractor has the right and authority to enter into this Agreement; (b) the Services will be performed in a professional and workmanlike manner in accordance with generally accepted industry standards; and (c) the Work Product will not knowingly infringe or misappropriate any third party intellectual property rights.

9.2 Disclaimer. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICES AND WORK PRODUCT ARE PROVIDED "AS IS" AND CLIENT'S REMEDIES ARE LIMITED TO THOSE EXPRESSLY PROVIDED HEREIN. CONTRACTOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10. INDEMNIFICATION; LIMITATION OF LIABILITY

10.1 Indemnification. Contractor shall indemnify, defend and hold harmless Client and its officers, directors and employees from and against any third party claim, liability, loss, damage, or expense (including reasonable attorneys' fees) arising out of Contractor's breach of this Agreement, negligence, or willful misconduct.

10.2 Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM CONTRACTOR'S WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EACH PARTY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED .

11. TERMINATION

11.1 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

11.2 Termination for Cause. Either party may terminate immediately for material breach by the other party if such breach is not cured within 10 days after written notice.

12. NOTICES

12.1 Method. All notices required or permitted under this Agreement shall be in writing and delivered by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses set forth below (or such other address as the receiving party designates by notice).

13. MISCELLANEOUS

13.1 Assignment. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

13.2 Subcontracting. Contractor may engage subcontractors to perform portions of the Services, provided that Contractor remains responsible for the performance of the Services and compliance with this Agreement.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

15. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT; WAIVER; COUNTERPARTS

15.1 Entire Agreement. This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

15.2 Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

15.3 Amendment and Waiver. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. No waiver of any breach shall constitute a waiver of any subsequent breach.

15.4 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be binding.
