What the Freelance Editor & Proofreader Agreement Covers

Freelance Editor & Proofreader Agreement defines terms between an editor or proofreader and a client for editing, proofreading, revision rounds, delivery, and payment. It clarifies scope of work, deadlines, fees, confidentiality, ownership of edited materials, revision limits, and termination rights. The agreement frames expectations for turnaround time, file formats, style guides, and acceptance criteria, and can include nondisclosure provisions and indemnity clauses. Use a written agreement for projects of any significant length or value to reduce disputes and support invoicing, tax reporting, and intellectual property clarity.

Why a Written Agreement Matters

A Freelance Editor & Proofreader Agreement reduces ambiguity by documenting scope, fees, deadlines, and ownership. It helps manage client expectations, provides a contractual basis for payment and dispute resolution, and supports compliance with confidentiality and copyright obligations under U.S. law.

Why a Written Agreement Matters

Who Typically Uses This Agreement

Freelancers, independent editors, and proofreading agencies use this agreement to formalize engagements, set payment terms, and protect IP and confidentiality.

  • Independent contractors who provide hourly or per-project editing and proofreading services.
  • Small publishers, academic authors, and content agencies needing contractual clarity on deliverables.
  • Legal, medical, or technical editors requiring confidentiality, copyright assignment, or HIPAA-aware clauses.

Use the agreement for single projects, retainer arrangements, or ongoing editorial relationships to reduce disputes and ensure timely payment.
