RECITALS

WHEREAS, Client desires to engage Writer to produce certain written materials on terms that grant Client ownership and confidentiality; and

WHEREAS, Writer represents that Writer has the skill and capacity to create original written works and is willing to provide such services for compensation under the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

3. TERM AND TERMINATION

Either party may terminate for convenience upon days' prior written notice. If Client terminates other than for Writer breach, Client shall pay for all work completed to date, plus any non-cancellable expenses reasonably incurred by Writer. If Writer terminates other than for Client breach, Writer shall deliver any completed work and refund any unearned prepayments.

4. INTELLECTUAL PROPERTY AND ASSIGNMENT

Writer hereby assigns to Client all right, title and interest in and to the written works delivered under this Agreement, including copyright and all renewals and extensions, effective upon full payment. Writer agrees that the works shall be considered "work made for hire" to the fullest extent permitted by law; to the extent any portion is not a work made for hire, Writer assigns all rights to Client without further consideration.

Writer waives any moral rights, rights of attribution, and rights of integrity in the delivered works to the extent permitted by law. Client shall have the exclusive right to edit, publish, license, and otherwise exploit the works in any medium.

5. CONFIDENTIALITY

"Confidential Information" means non-public business, creative, financial, marketing, and technical information disclosed by Client to Writer. Writer shall hold Confidential Information in strict confidence, shall not disclose it to third parties, and shall use it only to perform obligations under this Agreement. This obligation shall not apply to information that is or becomes publicly known through no breach by Writer, is independently developed by Writer without use of Confidential Information, or is required to be disclosed by law.

The confidentiality obligations survive termination for a period of years, except as required by law.

6. REPRESENTATIONS, WARRANTIES AND INDEMNITY

Writer represents and warrants that: (a) the work will be original to Writer and will not infringe any third-party rights; (b) Writer has full authority to assign the rights contemplated by this Agreement; and (c) the work will not contain libelous or unlawful material. Client represents that any materials provided to Writer do not violate third-party rights.

Each party shall indemnify, defend and hold harmless the other from and against any claims, liabilities, damages, and expenses arising from breach of its representations, warranties, or obligations under this Agreement.

7. LIMITATION OF LIABILITY

Except for liability arising from wilful misconduct, breaches of confidentiality, or indemnification obligations, in no event shall either party be liable for consequential, incidental, special, or punitive damages. The aggregate liability of either party for any claim arising out of this Agreement shall not exceed the total fees paid by Client to Writer under this Agreement.

8. CREDIT AND PUBLICITY

Unless otherwise agreed in writing, Writer acknowledges that the work is ghostwritten and waives public credit. Any use of Writer's name in promotional materials by Client requires prior written consent from Writer.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior and contemporaneous agreements, proposals and representations, whether written or oral. Any amendments or modifications must be made in writing and signed by both parties.

11. MISCELLANEOUS

If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign to an affiliate or successor in interest.
