FREELANCE LABOR CONTRACT

Recitals

WHEREAS, Client Name: desires to engage Contractor to perform certain labor and services described herein; and

WHEREAS, Contractor Name: represents that Contractor has the necessary skills, expertise, and resources to perform such services on the terms set forth in this Agreement; and

WHEREAS, the parties wish to set forth the terms under which Contractor will perform services for Client effective as of Effective Date: .

Scope of Work

Contractor shall perform the services and provide the deliverables as described below. Contractor shall perform services in a professional and workmanlike manner in accordance with industry standards and the schedule agreed by the parties.

Payment Terms

Client will pay Contractor as compensation for the services performed under this Agreement in the amounts and according to the schedule set forth below. All amounts are in lawful currency.

Term and Termination

Term: This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice delivered at least Notice Period (days): prior to termination. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of thirty (30) days after written notice specifying the breach.

Upon termination, Contractor shall deliver all completed work and any work in progress and Client shall pay Contractor for work performed and documented expenses incurred through the effective date of termination.

Confidentiality

Contractor acknowledges that Contractor may receive confidential and proprietary information of Client. Contractor agrees to maintain in confidence and not to use or disclose any Confidential Information except as necessary to perform the Services. Confidential Information does not include information that is (a) publicly known through no fault of Contractor, (b) rightfully received from a third party without breach, or (c) independently developed without reference to Client's Confidential Information.

Intellectual Property

Unless otherwise agreed in writing, upon full payment of all fees due under this Agreement, Contractor hereby assigns to Client all right, title and interest in and to all work product, deliverables and results created specifically for Client under this Agreement. Contractor retains ownership of pre-existing materials and tools; Contractor grants Client a nonexclusive, royalty-free license to any Contractor pre-existing materials included in deliverables solely to the extent necessary to use the deliverable as intended.

Independent Contractor; Insurance

Contractor is an independent contractor and not an employee, partner, agent, or joint venturer of Client. Contractor is solely responsible for all taxes, withholdings, benefits, and for maintaining appropriate insurance coverage required to perform the Services.

Liability; Indemnification

Each party’s liability to the other for claims arising under this Agreement shall be limited to direct damages; in no event shall either party be liable to the other for consequential, incidental, or punitive damages. Contractor shall indemnify and hold harmless Client from third-party claims arising from Contractor's gross negligence or willful misconduct in performing the Services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement; Amendments

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, or communications, whether written or oral. Any amendment must be in writing and signed by both parties.

Notices

Notices shall be delivered to the addresses set forth above or to such other address as either party may designate in writing and shall be effective upon receipt.
