FREELANCE PROOFREADING CONTRACT

This Freelance Proofreading Contract (the Agreement) is made and entered into as of by and between:

Parties

WHEREAS

WHEREAS, Client Name: desires to retain the services of Freelancer Name: to provide proofreading services on the terms set forth herein;

WHEREAS, the parties desire a written agreement that defines the scope, schedule, compensation, confidentiality obligations and other material terms governing their relationship.

Scope of Work

The Freelancer will provide proofreading services including correction of grammar, punctuation, spelling, consistency of style, and minor formatting issues. The Freelancer will not be responsible for substantive editing unless expressly agreed in writing. Specific documents, word counts, and delivery milestones will be as described below.

Payment Terms

Client shall pay Freelancer the fees described below in exchange for the Services. Fees are exclusive of any taxes which Client shall be responsible for unless otherwise stated.

Term and Termination

The Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach that is not cured within 14 days of written notice. Upon termination, Client shall pay Freelancer for all Services performed and expenses incurred through the effective date of termination.

Confidentiality

Freelancer will treat all Client materials, drafts, notes, and related information disclosed in connection with the Services as Confidential Information. Freelancer shall not disclose such information to any third party and shall only use it to perform the Services. Confidential Information does not include information that: (a) is or becomes publicly known other than by breach of this Agreement; (b) was rightfully in Freelancer's possession prior to disclosure; or (c) is received from a third party without restriction.

Upon termination or upon Client's request, Freelancer shall return or securely destroy Client materials as directed in writing.

Intellectual Property and Deliverables

Client retains copyright and all proprietary rights in original materials submitted to Freelancer. Freelancer grants Client a perpetual, royalty-free license to all corrections, annotations and final proofread deliverables produced pursuant to this Agreement. Freelancer represents that the work will be original and will not infringe third-party rights.

Representations, Warranties and Liability

Each party represents that it has authority to enter into this Agreement. Freelancer warrants that services will be performed with reasonable skill and care. Except for willful misconduct or gross negligence, Freelancer's liability for any claim arising out of this Agreement shall be limited to direct damages not to exceed the total fees paid by Client under this Agreement for the particular services giving rise to the claim. Neither party shall be liable for consequential or incidental damages.

Indemnification

Client agrees to indemnify and hold Freelancer harmless from and against any claims, liabilities, losses or expenses arising from Client's materials, breach of warranties, or Client's use of the deliverables, except to the extent caused by Freelancer's gross negligence or willful misconduct.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties will attempt to resolve disputes in good faith prior to initiating legal proceedings.

Entire Agreement

This Agreement, including any attachments, exhibits and accepted statements of work, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior and contemporaneous agreements, proposals or representations, whether written or oral. Amendments must be in writing and signed by both parties.

Notices

All notices shall be in writing and delivered to the addresses provided above or to such other address as either party may designate by notice. Notices shall be effective upon receipt.
