FREELANCE SERVICE CONTRACT

This Freelance Service Contract (the Agreement) is entered into as of by and between Client Name: , and Freelancer Name: . Client and Freelancer are each a Party and together the Parties.

WHEREAS

WHEREAS, Client desires to engage Freelancer to perform certain services more particularly described below; and

WHEREAS, Freelancer represents that Freelancer has the skill, experience and qualifications to perform such services as an independent contractor; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the Parties agree as follows:

1. Scope of Work

Freelancer shall perform the services and deliver the deliverables described in this Section (the Services). The Services shall include, at minimum, the tasks, specifications and acceptance criteria described below.

2. Payment Terms

As full compensation for the Services, Client shall pay Freelancer in accordance with this Section. All amounts are described in U.S. dollars unless otherwise agreed in writing.

Freelancer shall submit invoices to Client. Client shall pay invoiced amounts within days of receipt of an undisputed invoice. Late payments shall accrue interest at % per month, compounded monthly, or the maximum rate permitted by law, whichever is lower.

All expenses to be reimbursed by Client must be pre-approved in writing and documented with receipts. Unless otherwise stated, Freelancer is responsible for all taxes, withholdings and other statutory obligations arising from amounts paid to Freelancer.

3. Term and Termination

This Agreement commences on the Start Date and continues until the End Date or until completion of the Services, unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for convenience upon providing written notice to the other Party at least days prior to termination. Either Party may terminate immediately for material breach by the other Party if the breach is not cured within thirty (30) days of written notice. Upon termination, Client shall pay Freelancer for Services satisfactorily performed through the date of termination and for any non-cancellable commitments incurred prior to termination.

4. Confidentiality

For purposes of this Agreement, Confidential Information means non-public information disclosed by one Party to the other Party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that (a) is or becomes public through no fault of the receiving Party; (b) is known to the receiving Party at the time of disclosure; or (c) is independently developed without use of the disclosing Party's Confidential Information.

The receiving Party shall hold Confidential Information in confidence, use it only for performance under this Agreement, and disclose it only to those employees or contractors who have a need to know and are bound by confidentiality obligations no less restrictive than those herein. The obligations of confidentiality shall continue for following termination or expiration of this Agreement, except that trade secrets shall remain protected as required by law.

5. Intellectual Property; Work Product

Freelancer agrees that all materials, deliverables and work product developed specifically for Client under this Agreement (Work Product) shall be considered work made for hire to the fullest extent permitted by law. To the extent ownership of any Work Product does not automatically vest in Client, Freelancer hereby assigns and conveys to Client all right, title and interest in and to such Work Product upon full payment for the Services.

Freelancer may retain and use general skills, knowledge, and experience acquired during performance of the Services, provided that no Confidential Information or Client-owned Work Product is used or disclosed in doing so. Pre-existing materials of Freelancer remain Freelancer's property, but Freelancer grants Client a non-exclusive, non-transferable license to any pre-existing materials incorporated into Work Product only to the extent necessary for Client's use of the Work Product.

6. Independent Contractor; Taxes

Freelancer is an independent contractor and not an employee of Client. Freelancer shall be solely responsible for all federal, state and local taxes, contributions and insurance payments related to payments made under this Agreement. Nothing in this Agreement shall be construed to create an employer-employee, partnership or joint venture relationship between the Parties.

7. Liability; Indemnification

Each Party shall indemnify, defend and hold harmless the other Party from and against claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising from the indemnifying Party's negligence, willful misconduct or breach of this Agreement. EXCEPT FOR A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES.

8. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the Parties at the addresses set forth below or to such other address as a Party may designate by written notice.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

10. Entire Agreement; Amendments

This Agreement, including any attachments or exhibits referenced herein, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications. Any amendment or modification must be in writing and signed by an authorized representative of each Party.

11. Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The Parties acknowledge that monetary damages may be an inadequate remedy for breach of confidentiality or intellectual property provisions and that injunctive relief may be appropriate.

The Parties represent and warrant that each has full power and authority to enter into this Agreement and that the person signing below on behalf of a Party is authorized to bind that Party to this Agreement.
