1. SCOPE OF WORK

The Freelancer shall perform the services and produce the deliverables described below in accordance with the terms and schedule set forth in this Statement of Work. Services provided shall be performed in a professional manner consistent with industry standards.

4. TERM AND TERMINATION

Termination for Convenience: Either party may terminate this Statement of Work without cause upon written notice delivered at least Notice Period (days): days prior to termination.

Upon termination, Freelancer shall deliver work in progress and Client shall pay for all work performed through the effective date of termination.

5. CONFIDENTIALITY

The parties acknowledge that during performance each may disclose Confidential Information. "Confidential Information" means non-public business, technical and financial information disclosed in any form. The recipient shall: (a) use Confidential Information only to perform obligations under this Statement of Work; (b) limit disclosure to employees or contractors with a need to know who are bound by confidentiality obligations; and (c) protect Confidential Information with at least the same degree of care as its own confidential information, but not less than a reasonable standard of care. The confidentiality obligations shall continue for Confidentiality Period (years): years following termination.

6. INTELLECTUAL PROPERTY

Ownership: Unless otherwise agreed in writing, upon full payment of amounts due, Freelancer assigns to Client all rights, title and interest in and to the final deliverables created specifically for Client under this Statement of Work. Freelancer retains ownership of its general know-how, methodologies, tools and pre-existing materials. To the extent Freelancer incorporates any pre-existing materials into a deliverable, Freelancer grants Client a non-exclusive, perpetual, worldwide license to use such pre-existing materials as incorporated in the deliverable.

7. INDEPENDENT CONTRACTOR

The Freelancer is an independent contractor and nothing in this Statement of Work creates an employer-employee, agency, partnership or joint venture relationship. Freelancer is solely responsible for all taxes, withholdings and other statutory obligations arising from performance of services.

8. LIABILITY; INSURANCE

Each party's liability under this Statement of Work shall be limited to direct damages and shall not exceed the fees paid or payable to Freelancer under this Statement of Work for the twelve (12) months preceding the claim. Neither party shall be liable for consequential, incidental, special or punitive damages. Freelancer shall maintain insurance appropriate to the services rendered.

9. GOVERNING LAW; DISPUTE RESOLUTION

This Statement of Work shall be governed by and construed in accordance with the laws of Governing Jurisdiction: without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation. If unresolved, the parties may seek any available legal or equitable remedies in the courts of the governing jurisdiction.

10. ENTIRE AGREEMENT

This Statement of Work, together with any incorporated attachments or schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.
