FREELANCE TALENT CONTRACT

This Freelance Talent Contract (the "Agreement") is entered into as of the Effective Date below by and between:

RECITALS

WHEREAS, Client desires to engage Talent to perform certain creative, technical, and/or production services described herein; and

WHEREAS, Talent represents that Talent has the skill, experience, and availability to perform the services and is willing to perform such services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms, payment, ownership, confidentiality and other obligations applicable to the services to be provided by Talent.

SCOPE OF WORK

PAYMENT TERMS

Compensation: Client shall pay Talent the Fee set forth below in consideration for the timely and professional performance of the Services. The Fee does not include taxes, which will be the responsibility of the party required by law to pay them.

Payment is due within days of Client's receipt of a correctly rendered invoice. Late payments shall bear interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by law, plus reimbursement of reasonable collection costs.

TERM AND TERMINATION

Term: This Agreement shall commence on the Start Date: and continue until the End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate for material breach by the other party if such breach is not cured within thirty (30) days after written notice of such breach.

CONFIDENTIALITY

Each party (the "Recipient") shall keep confidential and shall not disclose or use any confidential information of the other party (the "Discloser") except as necessary to perform obligations under this Agreement. Confidential information includes non-public business, technical or financial information disclosed in any form. The confidentiality obligations do not apply to information that: (a) is or becomes public through no fault of Recipient; (b) is rightfully received from a third party without restriction; (c) is independently developed by Recipient without use of Discloser's confidential information; or (d) is required to be disclosed by law, provided Recipient gives prompt notice to Discloser to seek protective relief.

INTELLECTUAL PROPERTY

Ownership of Work Product: All tangible deliverables and work product specifically created by Talent for Client under this Agreement (the "Work Product") shall be considered works made for hire if applicable under law. To the extent ownership does not automatically vest in Client, Talent hereby assigns to Client all right, title and interest in such Work Product, subject to payment in full of the applicable Fee.

Pre-Existing Materials: Talent retains ownership of its pre-existing materials, tools, know-how and general skills. Talent grants Client a nonexclusive, worldwide, royalty-free license to any pre-existing materials incorporated into the Work Product solely to the extent necessary for Client's use of the Work Product.

REPRESENTATIONS, WARRANTIES & INDEMNIFICATION

Each party represents that it has the right and authority to enter into this Agreement. Talent represents and warrants that the Services will be performed in a professional manner consistent with industry standards and that to the best of Talent's knowledge the Work Product will not infringe the intellectual property rights of any third party. Talent shall indemnify and hold harmless Client from and against any claims, liabilities, damages and expenses arising out of breach of the foregoing representation and warranty, except to the extent such claim arises from Client's instructions or materials.

ADDITIONAL PROVISIONS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets.

Independent Contractor: Talent is an independent contractor and is not an employee, agent or partner of Client. Talent is responsible for all taxes and insurance related to payments received under this Agreement.

GOVERNING LAW & ENTIRE AGREEMENT

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement: This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications. No amendment shall be effective unless in writing signed by both parties.

MISCELLANEOUS

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute waiver of any other or subsequent breach.
