Recitals

WHEREAS, the Carrier provides transportation, handling, and related services for the shipment identified below and operates under published terms and applicable laws; and

WHEREAS, the Shipper (or its authorized agent) desires the Carrier to release possession of the goods to a designated recipient and agrees to the indemnities, payment obligations, and limitations of liability set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Freight Shipment Release Form, the parties agree as follows.

Release Authorization and Conditions

The Shipper authorizes the Carrier to release possession of the shipment to the person or entity identified below upon presentation of acceptable identification and documentation. Release to any party other than the Consignee requires affirmative instruction and indemnity from the Shipper.

Either party may terminate this release and related performance obligations for material breach or insolvency upon written notice. Non-breaching party shall provide days' prior written notice to cure, except where immediate termination is permitted by law or the severity of breach.

Confidentiality

Each party agrees to keep confidential all non-public business information received in connection with this Release and not to disclose such information except to its employees, agents, or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. Confidential information does not include information which is publicly available or required to be disclosed by law.

Release, Liability and Indemnity

Upon authorized release of the shipment to the designated recipient, the Carrier shall be relieved of custody and further responsibility for physical possession of the goods, except for obligations arising from willful misconduct or gross negligence. The Shipper and the recipient jointly and severally indemnify and hold harmless the Carrier from and against any claims, losses, fines, penalties, demands, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to release not in strict compliance with this form or applicable law.

The Carrier's liability for loss or damage shall be limited to the lesser of actual proven loss or replacement value of the goods, subject to applicable statutes and the Carrier's tariff or bill of lading terms, unless a higher declared value and agreed additional charges are documented in writing prior to carriage.

Governing Law

This Release and any claims arising hereunder shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law rules.

Entire Agreement
