What a FSBO Purchase Agreement Is and When It Applies

A FSBO Purchase Agreement is a legally binding contract used when a property is sold directly by the owner without a listing agent. It records the parties, the property's legal description, purchase price, payment terms, contingencies, disclosures, and closing instructions. The agreement sets obligations for inspections, title review, escrow, prorations, and the transfer of title at recording. When properly completed and executed by the parties (and notarized where required), it creates enforceable rights and duties and serves as the core document for closing and recording the sale.

Why a Clear FSBO Agreement Matters

A comprehensive FSBO Purchase Agreement reduces ambiguity, allocates risk, and documents deadlines and deliverables for both buyer and seller. Proper execution—whether paper or electronic—supports enforceability under the federal ESIGN Act (15 U.S.C. ch. 96, 2000) and state UETA statutes where adopted.

Why a Clear FSBO Agreement Matters

Who Typically Uses a FSBO Purchase Agreement

Sellers and buyers who want to transact without a listing broker use a FSBO Purchase Agreement to document terms and simplify closing logistics.

  • Individual seller or owner-occupant selling without a broker, managing disclosures and negotiation directly.
  • Buyer represented by counsel or unrepresented buyer purchasing from owner; both need clear timelines.
  • Title company, escrow agent, or lender reviewing terms and coordinating closing, title, and recording.

Real estate attorneys, title/escrow officers, and lenders will often review or require supplemental language; include them early to avoid last-minute changes.

Stepwise process for preparing and completing the agreement

Follow a defined sequence to reduce errors and coordinate title, escrow, and funds.

  • 01
Draft the Agreement: Populate parties, legal description, price, and contingencies.
  • 02
Disclosures & Inspections: Provide seller disclosures and schedule inspection periods immediately.
  • 03
Title and Financing: Order title commitment and satisfy lender requirements if applicable.
  • 04
Closing and Recording: Execute signatures, wire funds, and record deed at county recorder.

Common mistakes to avoid when preparing a FSBO Purchase Agreement

  • Using an incomplete property description or incorrect parcel number that delays title examination and recording.
  • Failing to attach required state or local seller disclosures, which can lead to contract rescission or damages.
  • Entering mismatched party names or abbreviations that require corrective deeds or affidavits before recording.
  • Allowing unsigned pages or missing initials on material changes, which can be interpreted as no agreement.

Consequences and risks from improper or incomplete agreements

Title Defect: Clouded title requiring cure
Contract Rescission: Buyer may cancel for material disclosure failures
Escrow Dispute: Funds withheld or litigation risk
Recording Rejection: Deed rejected for formal errors
Delay Costs: Additional prorations and interest
Tax Exposure: Incorrect reporting or withholding

Files and supporting documents commonly paired with a FSBO Purchase Agreement

Collect and attach supporting documents to prevent delays at title and recording; maintain consistent file formats for exchange and archival.

Deed and Legal Description

Attach prior deed copy or recorded legal description to confirm parcel data and avoid title examiner questions during commitment issuance.

Seller Disclosures

State and local mandatory seller disclosure forms, lead paint notices, and HOA disclosures must be included to comply with statutes and avoid rescission claims.

Title Commitment

Include preliminary title report or commitment to show encumbrances and to guide cure of liens or exceptions before closing.

Inspection Reports

Deliver inspection, pest, and appraisal reports alongside contract amendments and repair agreements to document buyer acceptance or objections.
