What a Fuel Site Agreement Covers

A Fuel Site Agreement is a written contract that defines rights and obligations between a site owner, operator, or fuel supplier for the storage, sale, delivery, and maintenance of fuel at a specific location. Typical provisions address the parties and premises, permitted fuel types and grades, supply and pricing formulas, site access and operating hours, payment and invoicing, environmental and safety obligations, insurance requirements, regulatory compliance for underground storage tanks (USTs), indemnities, term and renewal, and termination remedies.

Why a Clear Fuel Site Agreement Matters

A well-drafted Fuel Site Agreement reduces operational disputes, allocates environmental risk, documents payment terms, and ensures regulatory and insurance compliance for all parties involved.

Why a Clear Fuel Site Agreement Matters

Who Typically Prepares and Signs This Agreement

Each signatory should confirm authority to bind their organization and provide required insurance certificates and regulatory permits.

  • Site owners and landlords responsible for property and permitting, ensuring access, utilities, and site condition compliance.
  • Fuel suppliers and distributors who set fuel grades, delivery schedules, pricing formulas, and invoicing arrangements.
  • Retail operators or convenience store management teams handling daily operations, point-of-sale integration, and customer-facing obligations.

Core Provisions to Include in a Professional Fuel Site Agreement

Include clear, enforceable clauses that define operational, financial, environmental, insurance, and termination obligations to reduce ambiguity and legal exposure.

Parties & Premises

Identify full legal names, contact information, site address, and legal description to avoid mistaken identity and ensure proper service of notices.

Fuel Supply & Pricing

Specify fuel types, grades, delivery frequency, quality testing, pricing formulas, fuel loss tolerance, and dispute resolution for meter discrepancies.

Access & Operations

Define hours, authorized personnel, vehicle access rules, signage, maintenance responsibilities, and data sharing for meter or telemetry systems.

Environmental & Safety

Allocate responsibility for UST compliance, leak detection, remediation, emergency response, and indemnity for environmental claims.

Payment & Security

Set invoice timing, late fees, acceptable payment methods, credit terms, security interest or lien provisions, and audit rights.

Term & Remedies

State initial term, renewal mechanics, termination for cause or convenience, cure periods, and remedies including specific performance or damages.

Where To Send and File the Executed Agreement

After execution, route copies to all contract parties and retain official records with responsible departments.

  • Primary Recipient: Counterparty legal or contract administrator receives original.
  • Site Owner: Owner keeps copy for property records and permitting.
  • Operations: Operator maintains an active on-site copy or digital access.

Common Deadlines and Notice Periods to Track

Identify calendar triggers in the agreement and monitor notice windows to avoid unintended renewals or default.

Price Adjustment Notice:

Often 30–60 days advance notice required

Cure Period:

Frequent Preparation Errors to Avoid

  • Using informal or abbreviated party names that leave identity ambiguous and complicate enforcement.
  • Failing to attach required insurance certificates or permits before execution, which can void certain indemnities.
  • Leaving pricing language vague such as 'market rate' without a defined index or formula for adjustments.
  • Overlooking environmental compliance details for USTs, causing unexpected remediation liability and regulatory penalties.

Key Risks and Potential Consequences

Environmental Fines: Civil penalties, cleanup costs
Loss of Access: Temporary suspension or injunction
Contract Damages: Monetary liability for breach
Insurance Gaps: Denied claims for noncompliance
Tax Exposure: Withholding or reporting issues
Reputational Harm: Operational disruption and public risk
