Recitals

WHEREAS, Service Provider is duly licensed and qualified to provide fumigation, pest control and related structural treatment services in accordance with applicable laws and industry safety standards; and

WHEREAS, Client requests that Service Provider perform fumigation services at the Service Property described above, and Service Provider agrees to furnish such services on the terms and conditions set forth in this Fumigation Service Request and Agreement; and

WHEREAS, the parties intend for this document to set forth the agreed scope, payment terms, required preparations, safety measures, and liabilities associated with the requested fumigation work.

Scope of Work

The Service Provider will perform fumigation and related pest control services as described below. The precise tasks, target pest(s), treated areas, and chemicals to be used will be as indicated by the selections and descriptions in this section and the attached work order.

Payment Terms

Client agrees to pay Service Provider the fees set forth below in consideration for the services rendered. All amounts are due in United States Dollars unless otherwise agreed in writing.

Late Payment: A late fee of of the outstanding balance per month will accrue on overdue amounts. Client is also responsible for collection costs and reasonable attorneys' fees incurred in enforcing payment.

Term and Termination

This Agreement commences on the Service Start Date and continues until completion of the described Scope of Work, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for cause where the other party materially breaches a term and fails to cure within after written notice. Client may cancel scheduled service without penalty if notice is provided at least prior to the scheduled start. Cancellations with less notice may incur a cancellation fee as set forth by Provider.

Client Pre-Treatment Requirements & Access

Client shall complete the following prior to commencement of fumigation unless otherwise agreed in writing. Provider may refuse to commence work until these steps are satisfied.

Safety, Signage and Re-Entry

Provider shall post required hazard signage and provide Client with re-entry instructions. Client shall not occupy treated areas until Provider confirms it is safe to do so.

Insurance, Permits and Compliance

Service Provider represents that it maintains commercial liability and workers' compensation insurance in amounts consistent with industry practice and will comply with all applicable permits, licensing, and regulatory requirements. Provider is responsible for obtaining any permits necessary for performance of the Scope of Work.

Liability, Warranty and Indemnity

Provider warrants that services will be performed in a workmanlike manner consistent with industry standards. Except for gross negligence or willful misconduct, Provider's liability for claims arising out of or related to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client for the specific service giving rise to the claim. Provider shall have no liability for special, incidental, consequential or punitive damages. Client shall indemnify and hold Provider harmless from third-party claims arising from Client's failure to comply with pre-treatment instructions or from conditions at the property not disclosed prior to service.

Re-treatment warranty, if any: . Any warranty described is subject to Client's compliance with preparation and occupancy instructions.

Confidentiality

Each party shall treat as confidential and shall not disclose to third parties the terms of this Agreement and any proprietary information of the other party, except as required by law or to the extent necessary to perform the services. Confidential information does not include information that is or becomes public without breach of this Agreement.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Service Property is located, without regard to conflicts of law principles. This document, together with any written work order signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, representations and agreements, whether written or oral.
