Representations, Warranties and Compliance

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations. The Sender represents that the funds to be transferred are not derived from unlawful activity and that the transfer will not violate applicable sanctions, anti-money laundering laws or export controls.

The parties agree to provide all documentation reasonably required by the receiving financial institution to permit processing and compliance screening. Failure to provide required documentation may delay or revoke the transfer instruction.

Indemnity and Liability

The Sender will indemnify and hold harmless the Recipient and any intermediary bank from and against claims, liabilities, losses, costs and expenses arising from any misrepresentation, breach of this Agreement, or the Sender's failure to comply with applicable laws. Except for willful misconduct or gross negligence, neither party will be liable for consequential, incidental or punitive damages.

Conditions Precedent and Acceptance

Processing of the transfer is conditional upon receipt of cleared funds and all required beneficiary and compliance information. Acceptance of this instruction by the executing bank or intermediary does not constitute a warranty of value date or conversion rate. If the executing bank cannot effect the transfer as instructed, the executing bank may return funds to the Sender or hold funds pending further instruction.

All notices under this Agreement shall be in writing and delivered to the addresses set forth below. Notices are effective upon receipt.

Governing Law and Dispute Resolution

This Agreement will be governed by and construed in accordance with the laws selected by the parties below. Any dispute arising out of or relating to this Agreement shall be resolved first by negotiation between authorized representatives, and if unresolved, by the exclusive jurisdiction of the courts indicated below.

Force Majeure; Miscellaneous

Neither party will be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, labor disputes, governmental actions, or communications or payment network failures. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and may be amended only by a written instrument executed by both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
