What a Funding Agreement Pass Through Is

Funding Agreement Pass Through is a contractual arrangement that routes funds from an original payer to one or more third-party recipients under the terms set by the primary funding agreement. It records the funding source, allocation method, conditions for release, reporting obligations, and responsibilities of passthrough entities. Common in grant administration, government contracting, subawards, and escrow arrangements, the document clarifies payment triggers and audit rights. Clear execution and attached schedules preserve an auditable trail for tax reporting, grants compliance, and financial reviews.

Why a Clear Passthrough Agreement Matters

A Funding Agreement Pass Through standardizes allocation, clarifies liabilities, and creates an auditable payment trail. It reduces disputes, enforces reporting obligations, and helps demonstrate compliance with prime award terms and regulatory requirements.

Why a Clear Passthrough Agreement Matters

Typical Parties and Roles

Primary organizations that use Funding Agreement Pass Through documents include funders, prime contractors, and subrecipients in public and private programs.

  • Federal grant programs and prime recipients managing subawards and fiscal reporting obligations.
  • Nonprofit intermediaries and fiscal agents administering donor-restricted or restricted government funds.
  • Escrow agents, title companies, or payment administrators handling conditional disbursements.

Legal, finance, and program teams should coordinate to define obligations, reporting schedules, and audit access so responsibilities are clear before funds move.

Core Sections to Include in a Passthrough Agreement

Core sections define parties, funding sources, allocation formulas, conditions for release, reporting requirements, audit rights, and dispute resolution procedural steps.

Parties

List the payer, passthrough entity, and final recipient with legal names, addresses, and tax identification. Specify the role and contact for financial and compliance notices to avoid attribution errors.

Funding Source

Allocation

Conditions

List eligibility criteria, documentation required for release, approvals needed, and any compliance checks. Clarify who verifies milestones, timing for verification, and the remedy if conditions are unmet.

Reporting

Specify financial and program reports, frequency, format, supporting attachments, and reviewer. Require retention of originals for audit, error correction procedures, and define submission channels and deadlines.

Audit Rights

Reserve rights for internal or external audit, define documentation access, timing, confidentiality protections, and cost allocation. Include procedures for corrective action plans and final resolution of audit findings.
