Indemnity and limitation of liability: The undersigned agrees to indemnify, defend and hold Recipient harmless from any claim, loss or liability (including reasonable attorneys' fees) arising from the payment instructions provided, except to the extent caused by Recipient's gross negligence or willful misconduct. Recipient's liability for any error or delay shall be limited to the amount of the erroneous transfer.

If any provision is held invalid, the remaining provisions shall remain in full force and effect.
