Representations, Warranties and Covenants

Recipient represents and warrants that all information provided to Lender is true, complete and accurate; Recipient is duly organized and has the authority to enter this Agreement; execution and performance do not violate material agreements or law. Recipient covenants to use funds solely for the Purpose and to maintain accurate financial records available for inspection by Lender upon reasonable notice.

Events of Default and Remedies

Events of Default include failure to pay principal or interest when due, breach of a material representation or covenant, insolvency of Recipient, or cross-default under specified material agreements. Upon Default, Lender may accelerate all amounts due, exercise remedies under security documents, and recover costs of collection including reasonable attorneys’ fees.

Confidentiality
