FUNDRAISER EVENT PLANNING AGREEMENT

This Fundraiser Event Planning Agreement (the "Agreement") is entered into effective as of by and between:

RECITALS

WHEREAS, Organizer provides event planning, fundraising coordination, vendor management, marketing, and related services for charitable and community fundraising events; and

WHEREAS, Client is organizing a fundraising event for charitable purposes and desires to retain Organizer to plan, coordinate, and manage the event on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the foregoing recitals and the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Organizer will perform the services described below. The description is intended to be comprehensive and may include vendor procurement, site logistics, volunteer coordination, fundraising strategy, ticketing, sponsorship solicitation, event-day management, post-event reconciliation, and other services as expressly set forth.

BUDGET AND EXPENSES

PAYMENT TERMS

Client agrees to pay Organizer the fees and reimbursements set forth below. All fees are exclusive of taxes and third-party vendor costs unless otherwise indicated. Organizer will invoice Client in accordance with the payment schedule below.

Invoices unpaid beyond the agreed due date are subject to the Late Fee above. Client shall reimburse Organizer for reasonable collection costs, including attorneys' fees, for past-due amounts.

INSURANCE, PERMITS AND COMPLIANCE

Each party shall obtain and maintain required permits and licenses. Client is responsible for compliance with all applicable laws and regulations related to charitable solicitation and tax reporting.

TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until the completion of Organizer's services and final reconciliation of funds, unless earlier terminated as set forth below.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the Notice Period following written notice. Termination by Client without cause prior to services rendered may result in forfeiture of the deposit and payment for services performed through the termination date.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential. Confidential information shall not include information that is or becomes publicly known other than by breach of this Agreement, is already lawfully in the receiving party's possession, or is independently developed.

Confidential information may be disclosed as required by law or regulation, provided the disclosing party gives prompt notice to the other party to permit the other party to seek protective measures.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, employees and agents from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligent acts, willful misconduct, or material breach of this Agreement.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Organizer represents that services will be performed in a professional manner consistent with industry standards.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement shall create a partnership, joint venture, or employment relationship.
