Fundraising Annual Supporter Agreement

This Fundraising Annual Supporter Agreement (the Agreement) is entered into as of Effective Date: by and between Organization Name: with principal address (the Organization) and Supporter Name: with address (the Supporter).

WHEREAS

WHEREAS, the Organization conducts fundraising campaigns, events and programs to support its charitable, educational or public-interest activities; and

WHEREAS, the Supporter desires to provide financial support to the Organization on an annual basis subject to the terms of this Agreement; and

WHEREAS, the parties desire to set forth the scope of the Supporter's commitments, payment terms, confidentiality obligations, and related terms governing their relationship for the term specified below.

Scope of Support

The Supporter agrees to provide the support described above in accordance with the payment terms and schedule set forth below. The Organization will apply the Supporter’s contributions for the charitable purposes described in the Scope of Support and will provide acknowledgements consistent with applicable law.

Payment Terms

Any amount not paid when due shall accrue interest at the lesser of (a) the rate of % per annum, computed daily, or (b) the maximum rate permitted by applicable law. The Organization reserves the right to suspend benefits or recognition until past due amounts are remitted.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience by delivering written notice to the other party at least days prior to the effective date of termination. Either party may also terminate immediately upon written notice if the other party materially breaches this Agreement and fails to remedy such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Each party acknowledges that in the course of performance under this Agreement it may receive non-public, proprietary or confidential information of the other party ("Confidential Information"). Each party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own similar confidential information; (b) not disclose Confidential Information to any third party except to its employees, agents or professional advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) not use Confidential Information other than to perform its obligations under this Agreement. Confidential Information does not include information that is or becomes publicly known through no improper act of the receiving party, is already rightfully in the receiving party’s possession, or is independently developed without use of the disclosing party’s Confidential Information.

Acknowledgements and Tax Treatment

The Organization shall provide the Supporter with written acknowledgement of all contributions in a form sufficient for tax substantiation where required by law. The Supporter acknowledges that the Organization makes no representation as to the tax deductibility of any contribution and that the Supporter is responsible for consulting with the Supporter’s own tax advisor.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located in that State unless otherwise mutually agreed in writing.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by both parties.

Miscellaneous

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that the Organization may assign this Agreement in connection with a merger or transfer of substantially all of its assets related to the Organization’s charitable programs. No delay or failure to exercise any right shall constitute a waiver of that right.
