FUNDRAISING EVENT AGREEMENT

This Fundraising Event Agreement (the "Agreement") is entered into between Organizer: and Beneficiary: .

RECITALS

WHEREAS, Organizer operates and conducts fundraising events and has proposed to host an event entitled "" (the "Event") for the benefit of Beneficiary; and

WHEREAS, the Event is scheduled for at ; and

WHEREAS, Organizer and Beneficiary desire to set out the respective duties, payment terms, confidentiality obligations, and other terms governing the Event.

PAYMENT TERMS

Compensation and distribution of proceeds shall be as follows. Organizer will be responsible for event expenses and will distribute net proceeds to Beneficiary in accordance with the agreed schedule below.

Any amounts payable hereunder not paid when due shall accrue interest or fees as set forth in the Late Payment Fee field above. Collection costs, including reasonable attorneys' fees, are recoverable by the prevailing party.

INSURANCE, PERMITS, AND COMPLIANCE

INDEMNIFICATION

Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party (the "Indemnified Party") from and against all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the Indemnifying Party's negligence, willful misconduct, breach of this Agreement, or failure to obtain required permits or insurance. This indemnity survives termination of this Agreement.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed in connection with the Event, including donor lists, financial reports, and proprietary methods ("Confidential Information"). Confidential Information shall not be disclosed to third parties except as required by law or with prior written consent. Confidentiality obligations continue for a period of three (3) years after termination of this Agreement.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues through the End Date unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period set forth above. Upon termination, Organizer shall provide a final accounting of receipts and expenses within 30 days, and any undistributed net proceeds shall be remitted to Beneficiary in accordance with the Distribution of Net Proceeds section.

REPORTING AND RECORDS

Organizer shall maintain complete and accurate records of all receipts and expenditures relating to the Event and shall make such records available to Beneficiary upon reasonable request. Final reconciliation and report of net proceeds shall be delivered by .

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the Event and supersedes all prior and contemporaneous agreements, understandings and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

The parties agree that assignment of this Agreement is prohibited without the prior written consent of the other party. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
