What the Furniture Fixtures & Equipment Agreement Covers

A Furniture Fixtures & Equipment Agreement documents the sale, lease, delivery, installation, or financing of furniture, fixtures, and equipment (FF&E) between parties. It defines items included, specifications, delivery and installation responsibilities, acceptance criteria, pricing and payment terms, warranties, maintenance obligations, and risk of loss. The agreement also clarifies title transfer, lien rights, insurance requirements, and remedies for defective or late deliveries. Well-drafted FF&E agreements reduce disputes by setting inspection windows, acceptance procedures, and clear remedies for repair, replacement, or price adjustments.

Why a Clear FF&E Agreement Matters

A well-structured Furniture Fixtures & Equipment Agreement limits ambiguity about scope, timing, and financial responsibility while protecting both buyer and supplier. It helps allocate risk for damage, sets deadlines for acceptance and payment, and supports enforcement in disputes. For U.S. transactions, e-signatures executed under ESIGN (15 U.S.C. ch. 96) or UETA are generally enforceable when intent, consent, attribution, and retention are satisfied.

Why a Clear FF&E Agreement Matters

Who Typically Prepares and Signs FF&E Agreements

The signer mix usually includes an authorized purchasing officer for the buyer and an authorized corporate representative or owner for the supplier; lease or financing arrangements may require additional creditor or lessor signatures.

  • Procurement and purchasing teams in corporations and institutions who manage vendor contracts and inventory.
  • Interior designers, property managers, and contractors coordinating delivery and installation schedules.
  • Small business owners and independent retailers purchasing or leasing fixtures for commercial locations.

Core Elements to Include in a Professional FF&E Agreement

Include clear descriptions, delivery and acceptance processes, payment and invoicing terms, warranty and repair provisions, title and risk allocation, and dispute resolution procedures.

Item Description

Detailed list of furniture, fixtures, and equipment with model numbers, quantities, materials, finishes, and any applicable serial numbers to avoid disputes about scope and quality.

Delivery & Install

Specify delivery dates, installation responsibilities, site access requirements, acceptance testing, and who bears costs for rework or additional site preparation.

Price & Payment

State unit and total prices, payment schedule, invoicing procedures, late payment interest, deposits, and any financing or lease payment terms.

Warranties

Define manufacturer and supplier warranties, claim procedures, duration, and remedies such as repair, replacement, or prorated refunds.

Title & Risk

Clarify when title and risk of loss transfer (upon shipment, delivery, or installation) and any retention of title clauses or security interests.

Claims & Remedies

Include inspection timeframes, rejection and cure rights, limitations on liability, indemnities, and procedures for resolving disputes including governing law.

  • Missing acceptance criteria or inspection windows that allow late discoveries of defects to fall outside remediation periods.
  • Failure to record a clear payment schedule or lien notice process, increasing the risk of nonpayment or improper encumbrances.

Risks and Financial Consequences of Errors

Payment Disputes: Delayed payments and interest charges
Tax Withholding: Backup withholding risk
