What a Furniture Refinishing Agreement Is

A Furniture Refinishing Agreement is a written contract used between a service provider and a client to define the scope, pricing, timeline, and responsibilities for restoring or refinishing furniture. It identifies the parties, describes items to be refinished, specifies materials and finishes, records payment terms, delivery and pickup conditions, inspection and acceptance criteria, and any warranty or repair obligations. The agreement also allocates risk for loss or damage, addresses changes and cancellations, and designates governing law and dispute resolution, ensuring expectations are clear before work begins.

Why a Formal Agreement Matters

A Furniture Refinishing Agreement reduces disputes by documenting scope, payment, timelines, and warranties. Clear terms protect both parties, set expectations for alterations and liability, and facilitate enforceability under applicable contract law and electronic signature frameworks such as ESIGN and UETA.

Why a Formal Agreement Matters

Who Typically Prepares and Signs This Agreement

Typical users include professional refinishers, restoration shops, independent contractors, and clients commissioning refinishing or restoration services.

  • Independent refinishers: freelance craftsmen handling pickups, stripping, staining, and finish application.
  • Restoration shops: multi‑technician facilities with inventory, storage, and longer lead times.
  • Clients and dealers: homeowners, antique dealers, and estate liquidators ordering documented work and warranties.

The agreement also suits estate sales, antique dealers, staging companies, and homeowners who need documented terms for value, timelines, and liability allocation.

Core Sections to Include in the Agreement

Core sections define parties, detailed finish specifications, payment and deposit terms, schedule milestones, warranty obligations, and remedies to reduce disputes in refinishing engagements.

Parties

Identify the contractor and client by full legal name, business entity type, contact information, and billing address. Include authorized representatives and designate primary contact for scheduling and approvals.

Scope of Work

Describe each furniture item with quantity, make/model or distinguishing features, work to be performed (stripping, staining, repairs), surface preparation, and final finish coat specifications including brand or sheen when required.

Materials & Finishes

List paints, stains, sealants, and any VOC or low‑VOC options; note owner‑supplied materials, substitutions allowed, and approval process for color or finish changes before application.

Timeline & Delivery

Specify start date, estimated completion, storage duration, pickup or delivery responsibilities, penalties for delays, and conditions for extensions due to repairs, parts availability, or client approvals.

Payment Terms

State total price, deposit amount, payment schedule, accepted payment methods, late fee policy, and consequences for nonpayment such as storage fees or retention of title until final payment.

Warranty & Liability

Define warranty scope and duration for workmanship and finishes, exclusions (normal wear, misuse), repair remedy procedures, and limit of liability; include insurance and damage reporting instructions.

Essential Fields to Collect

Contractor Name: Full legal name and business address
Client Name: Full legal name and contact details
Item Description: Quantity, condition, identifying marks
Price & Deposit: Total cost, deposit amount, payment schedule
Completion Date: Enter expected completion date in MM/DD/YYYY
Signatures: Signer name, signature, and date

Common Risks and Potential Consequences

Unpaid Invoices: Storage fees and collections
Damage in Transit: Report damage within 48 hours
Missed Deadlines: May incur delay charges
Incorrect Item Info: Mismatched descriptions void claims
Legal Noncompliance: Licensing or permit violations
Tax Consequences: Independent contractor reporting obligations

Frequent Preparation Errors to Avoid

  • Vague scope: failing to list specific items, finishes, or repair steps leads to disagreements about completed work and extra charges.
  • No acceptance procedure: omitting inspection windows or acceptance criteria makes it difficult to confirm completion and may delay final payment.
  • Missing condition records: not photographing pre‑refinish damage increases dispute risk and impairs insurance or warranty claims.
  • Unclear change orders: lacking written change order process for color or material changes leads to scope creep and billing disputes.

Step-by-Step: Completing the Agreement

Follow these steps to complete a Furniture Refinishing Agreement accurately and create an enforceable record for both parties.

  • 01
Describe Items: List each piece with features and condition
  • 02
Specify Finish: Name products, sheen, and color codes
  • 03
Agree Price: Set total, deposit, and payment milestones
  • 04
Sign & Date: Both parties sign; include printed names

Where and How Signed Agreements Are Routed

Typical routing: contractor drafts, client reviews, both sign, contractor schedules work, and each party retains a signed copy for records.

  • Deliver to Client: Provide signed copy at pickup or delivery
  • Store Contractor: Keep original contract in secure files
  • Send Invoice: Issue invoice per payment schedule
  • Archive: Retain digital copy and audit trail

Saving and Supplementing the Agreement

Document features include fillable fields, eSignature compatibility, export to common formats, and space for attachments such as photos and inspection reports.

Export Formats

Save executed agreements as PDF/A or DOCX for archival and client delivery. Ensure signed PDF includes an embedded audit trail and timestamps for evidentiary purposes.

Photos & Exhibits

Attach high‑resolution pre‑refinish and post‑refinish photos, dimensions, and condition notes as exhibits. Reference exhibit labels in the body to avoid ambiguity about which item is covered.

Change Orders

Provide a template for written change orders specifying new scope, materials, revised price, and adjusted completion date; require signatures from both parties before proceeding.

Delivery Receipts

Include delivery or pickup receipts documenting transfer of possession with date, time, carrier or person, and signatory to establish chain of custody.
