Furniture Wall Bed Agreement

This Furniture Wall Bed Agreement (Agreement) is entered into between the parties set forth below on the Effective Date. Client Name: Installer/Contractor Name: Effective Date:

RECITALS

WHEREAS, Client desires the supply, delivery and installation of a wall bed unit and related furniture components described in this Agreement (the Work); and

WHEREAS, Installer represents it has the experience, labor, tools and qualifications necessary to perform the Work and agrees to supply the goods and services on the terms and conditions set forth herein; and

WHEREAS, the parties intend that this Agreement set forth their complete understanding regarding the Work, payment and related obligations.

SCOPE OF WORK

Installer shall provide all labor, materials, fixtures, equipment and supervision required to complete the Work described below. The Work includes supply, delivery, installation, leveling, anchoring to structural substrate, finishing trim and on-site adjustments necessary for safe and proper operation of the wall bed.

PAYMENT TERMS

Client shall pay Installer the Contract Price as set forth below. Unless otherwise agreed in a written Change Order, payments are non-refundable but applied to the Contract Price.

All payments are due as set forth above. Client shall make payment to Installer at the Installer address or other payment instructions provided in writing. Failure to make timely payment shall entitle Installer to suspend work and recover collection costs, including reasonable attorneys' fees.

TERM AND TERMINATION

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Agreement, continues until completion of the Work and final payment.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Upon termination, Client shall pay Installer for all Work performed and materials purchased to the date of termination, together with reasonable demobilization costs.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to third parties any confidential information of the other party obtained in connection with this Agreement, except to perform the Work, as required by law, or with the other party's prior written consent. Confidential information does not include information that is or becomes public through no fault of the receiving party or was lawfully known to the receiving party prior to disclosure.

WARRANTY AND INSPECTION

Installer warrants that materials supplied shall be new and that installation shall be performed in a workmanlike manner for a period of Warranty Period months following final acceptance. Warranty Period (months): . Warranty excludes damage caused by misuse, alteration, normal wear, or improper maintenance.

Client shall inspect the Work promptly upon completion and shall notify Installer in writing of any defects within ten (10) days of discovery. Installer shall have a reasonable opportunity to repair or replace defective items.

CHANGE ORDERS

INDEMNIFICATION

Installer shall indemnify and hold harmless Client from and against claims, damages, losses and expenses, including reasonable attorneys' fees, arising out of Installer's negligent performance of the Work or breach of this Agreement, except to the extent caused by Client's negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any written Change Orders executed by both parties, constitutes the entire agreement between the parties with respect to the Work and supersedes all prior proposals, representations, and agreements, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by personal delivery, certified mail, or nationally recognized courier and shall be effective upon receipt.
