Common preparation mistakes to avoid

  • Vague or open-ended scope descriptions commonly cause disputes and change orders; define measurable deliverables, acceptance criteria, and exclusion lists to reduce contention and downstream billing disagreements.
  • Using DBAs instead of legal entity names can delay invoicing, cause backup withholding triggers, and complicate tax reporting; always match names to tax documents.
  • A signed document without documented signatory authority can be challenged; obtain evidence of authority or corporate resolutions when signing on behalf of an entity.
  • Ambiguous payment timing, late fee calculations, or unspecified currency can cause collection issues; state net terms, accepted methods, and penalties clearly.

Key risks and legal consequences

Unenforceable Signature: May be unenforceable; see 15 U.S.C. §7001
Tax Reporting Delays: Incorrect TINs risk backup withholding
Contract Disputes: Ambiguous terms increase litigation risk
Data Privacy Exposure: HIPAA or state law risk if PHI
I-9 Compliance: Retention required per 8 CFR §274a.2
Retention Violations: Failing records retention risks fines
