GARAGE SERVICES AGREEMENT

Parties

Recitals

WHEREAS, Client operates a residential or commercial property containing one or more garages and desires professional garage-related services including, but not limited to, repair, maintenance, cleaning, organization, installation, or storage coordination; and

WHEREAS, Service Provider is engaged in the business of providing garage services and represents that it has the experience, personnel, tools, and insurance necessary to perform the services described in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows.

Scope of Work

Service Provider shall perform the services described below at the location specified by Client. Services include labor, use of standard tools, and supervision necessary to complete the tasks. Any additional materials or work beyond this Scope of Work require prior written approval by Client and may be billed separately.

Payment Terms

Client shall pay Service Provider the fees and expenses set forth below in consideration for the satisfactory performance of the Scope of Work. Payment shall be made in U.S. dollars in accordance with the schedule and conditions specified.

Term and Termination

This Agreement commences on the Effective Date set forth below and continues until the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above. Termination for convenience by either party requires the notice described above and payment for services performed through the effective date of termination.

Confidentiality

Each party acknowledges that during performance of this Agreement it may receive confidential or proprietary information ("Confidential Information") of the other party. Confidential Information excludes information that is (i) already known by the receiving party without obligation of confidentiality, (ii) publicly available through no fault of the receiving party, or (iii) rightfully received from a third party without restriction.

The receiving party shall not use Confidential Information except as necessary to perform its obligations under this Agreement and shall not disclose Confidential Information to third parties without the disclosing party's prior written consent, except to its employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. These confidentiality obligations survive termination of this Agreement for a period of three years.

Insurance; Indemnification

Service Provider represents and warrants that it maintains commercial general liability insurance and any other coverage required by law or reasonably necessary for the services described herein. Upon Client's request, Service Provider shall provide certificates of insurance evidencing coverage.

Service Provider shall indemnify and hold harmless Client from and against all claims, liabilities, losses, and expenses arising out of Service Provider's negligent acts, omissions, or willful misconduct in the performance of the services, except to the extent caused by Client's negligence or willful misconduct.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special, or punitive damages, and each party's aggregate liability shall not exceed the total amount paid to Service Provider under this Agreement for the services giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

Entire Agreement; Amendments

This Agreement, including all attachments, exhibits, and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both parties.

Dispute Resolution

The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation between senior representatives. If negotiation fails, the parties may pursue any remedy available at law or in equity in the courts located in the state identified in the Governing Law section.

Acknowledgements

The parties represent and warrant that each has the authority to enter into this Agreement and that the person signing on behalf of each party is duly authorized to bind that party.
