What the GEM Inc Business Services Agreement Covers

The GEM Inc Business Services Agreement is a standard contract that defines the relationship between GEM Inc and a counterparty who will provide or receive business services. It documents parties, scope of work, deliverables, payment terms, milestones, intellectual property ownership, confidentiality obligations, warranty and indemnity provisions, termination rights, and dispute resolution. When signed, either on paper or electronically under the ESIGN Act (15 U.S.C. ch. 96) and state UETA laws, the agreement creates binding obligations that govern performance, remedies for breach, and the processes for amendment and record retention.

Why Use a Standardized Business Services Agreement

A clear written agreement reduces ambiguity about deliverables, payment, timelines, and risk allocation. It helps manage disputes, supports compliance with industry regulations, and creates a single reference for audits and recordkeeping.

Why Use a Standardized Business Services Agreement

Who Typically Uses This Agreement and When

These agreements are used by organizations and individuals who engage in recurring or project-based services where defined responsibilities and payment terms are needed.

  • Small and mid-size businesses contracting vendors for services and maintenance.
  • Procurement teams and in-house legal departments standardizing supplier terms.
  • Independent consultants and firms documenting scope, fees, and deliverables.

Use the form when onboarding vendors, engaging consultants, or documenting services between corporate entities to ensure consistent legal and operational terms.

Draft scope and payment terms in clear, unambiguous language to reduce disputes. Define technical terms in an exhibit and ensure acceptance criteria are measurable and agreed in writing.
Attach Exhibits
Include schedules, statements of work, and pricing exhibits directly in the agreement. Properly labeled exhibits avoid later disagreement about versions or included items.
Confirm Signatory Authority
Verify the signer has corporate authority or a resolution. For third-party signers, obtain evidence of authority to avoid challenges to enforceability.
Preserve Audit Trail
When signing electronically, retain the platform audit log showing timestamps, IP addresses, and authentication steps to support evidentiary needs.
