Assignor desires to convey and assign to Assignee all of its interest in certain communications systems, rights of way, easements, permits and licenses identified in this Assignment. For valuable consideration, the receipt and sufficiency of which is acknowledged, Assignor bargains, sells, transfers, assigns, and conveys to Assignee, all of the following: 1. All of Assignor’s rights, title, interests and estates in and to all conduits, wires, cables, regenerators, optical amplifiers, and all component parts, accessories, machinery, structures, equipment, and other personal property used or claimed by Assignor and situated on or held for use in connection with the interests, rights and properties conveyed and shown on Exhibit “A” attached to and made a part of this Assignment. 2. All of Assignor’s rights, title, interests and estates in and to all of the rights-of- way, easements, permits and licenses listed on Exhibit “B” to this Assignment. It is the intent of this Assignment to assign, sell, and convey to Assignee all of Assignor’s rights, title, interests and estates in and to the communications system commonly re ferred to by Assignor as _____. This Assignment is expressly made subject to the terms and provisions of the rights-of- way, permits, and licenses listed on Exhibit “B,” including any provisions contained in the m requiring the prior written consent to assign the rights-of-way, permits, and licenses. ASSIGNOR MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, AS TO THE CONDITION OF THE PERSONAL PROPERTY OR TO ITS FITNESS FOR ANY PROPOSE. THE SALE IS MADE ON AN “AS IS, WHERE IS” BASIS. FURTHER, ASSIGNOR MAKES NO REPRESENTATIONS OR Page 2 of 2 WARRANTIES, EXPRESS OR IMPLIED, AS TO THE VALIDITY OR STATUS OF THE RIGHTS OF WAY, EASEMENTS, PERMITS, LICENSES OR ANY OTHER RIGHTS OF ASSIGNOR. This Assignment shall be binding on and inure to the benefit of Assignor and Assignee, their respective successors and assigns. To have and to hold, the assets, to Assignee, its successor and assigns, forever, and Assignor, for itself and its successors, covenant that the same are free and clear of al l liens and encumbrances created by Assignor, and that Assignor will warrant the same against the la wful claims of all parties who may claim the same by, through, or under Assignor, subject, however, to the restrictions and provisions stated above.
