GENERAL LIABILITY WAIVER

THIS GENERAL LIABILITY WAIVER (the "Waiver") is made and entered into as of by and between with a principal place of business at (hereinafter "Releasee"), and of (hereinafter "Participant" or "Releasor").

RECITALS

WHEREAS, Releasee organizes, sponsors, or permits certain activities, events, programs, use of facilities, or services identified below (the "Activity"); and

WHEREAS, Participant desires to voluntarily participate in the Activity and acknowledges that such participation entails certain risks, both known and unknown, inherent and otherwise; and

WHEREAS, as a condition of participation, Releasee requires execution of this Waiver to allocate risk and to obtain releases, indemnities and acknowledgements from Participant.

ACTIVITY DESCRIPTION

AGREEMENT

NOW, THEREFORE, in consideration of being permitted to participate in the Activity and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, Participant and Releasee agree as follows:

1. RELEASE AND WAIVER

Participant, on behalf of Participant and Participant's heirs, personal representatives, estate, next of kin, successors and assigns, hereby fully and forever releases, waives, discharges and covenants not to sue Releasee and its past or present owners, members, managers, officers, directors, employees, agents, volunteers, contractors, insurers and affiliated entities (collectively, "Released Parties") from any and all claims, demands, actions, causes of action, liabilities, losses, damages, costs and expenses (including attorneys' fees) arising out of or related to Participant's participation in the Activity, whether caused by the negligence of the Released Parties or otherwise, to the fullest extent permitted by law.

2. ASSUMPTION OF RISK

Participant acknowledges that participation in the Activity involves inherent risks including, but not limited to, physical injury, disability, death or property damage. Participant knowingly and voluntarily assumes all risks associated with participation, whether foreseen or unforeseen, and accepts full responsibility for any injury, loss or damage arising from such participation.

3. INDEMNIFICATION

Participant agrees to indemnify, defend and hold harmless the Released Parties from and against any and all claims, liabilities, losses, damages, settlements, judgments, penalties, costs and expenses (including reasonable attorneys' fees and costs of investigation) arising out of or resulting from Participant's acts, omissions, negligence, willful misconduct, or breach of this Waiver in connection with the Activity.

4. MEDICAL TREATMENT; INSURANCE

Participant authorizes Releasee to obtain emergency medical treatment for Participant in the event of injury, accident or illness if Releasee, in its sole judgment, determines such treatment is necessary. Participant acknowledges and agrees that Releasee is not responsible for payment of medical or emergency services and that Participant is solely responsible for such costs. Participant represents that Participant has adequate medical and liability insurance coverage or, if not, agrees to bear the costs of any such care.

5. REPRESENTATIONS AND WARRANTIES

Participant represents and warrants that Participant is of legal age and capacity to enter into this Waiver. If Participant is signing on behalf of a minor, the signer warrants that they are a parent or legal guardian and have full authority to bind the minor. Participant further represents that Participant is in sufficient physical condition to participate in the Activity and has not been advised otherwise by a qualified medical professional.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF RELEASEE TO PARTICIPANT FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THIS WAIVER OR THE ACTIVITY SHALL BE LIMITED TO DIRECT DAMAGES ONLY AND SHALL NOT INCLUDE INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR SPECIAL DAMAGES. NOTHING IN THIS SECTION SHALL LIMIT THE ENFORCEABLE RELEASES PROVIDED ABOVE AGAINST CLAIMS ARISING FROM PARTICIPANT'S ACTIONS.

7. NOTICES

All notices, requests, consents and other communications required or permitted under this Waiver shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice.

8. AMENDMENTS; WAIVER; COUNTERPARTS

No modification, amendment or waiver of any provision of this Waiver shall be effective unless in a writing signed by the party against whom enforcement is sought. The failure of any party to enforce any provision of this Waiver shall not constitute a waiver of future enforcement of that or any other provision. This Waiver may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

9. GOVERNING LAW

This Waiver shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflict of laws principles.

10. ENTIRE AGREEMENT

This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral and written agreements, representations and understandings. In the event of any inconsistency between this Waiver and any other document, this Waiver shall control.

11. SEVERABILITY

If any provision of this Waiver is determined to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired, and the parties shall endeavor to replace the invalid or unenforceable provision with a valid and enforceable provision that, to the extent possible, effectuates the original intent of the parties.
