What the General Subcontractor Affidavit Form Is

The General Subcontractor Affidavit Form is a sworn written statement used by subcontractors to confirm work performed, materials supplied, payment status, and lien rights on a specific construction project. It typically includes project identification, scope of work, contract and invoice references, a statement of payment or outstanding balance, and an affirmation under penalty of perjury. The affidavit is often required by general contractors, owners, lenders, or title companies to clear payment disputes, release retainage, or support lien waivers at project closeout.

Why a Proper Affidavit Matters for Payments and Liens

A completed affidavit documents performance and payment positions, supports release of retainage, and reduces risk of payment disputes or improper lien claims when accompanied by receipts and lien waivers.

Why a Proper Affidavit Matters for Payments and Liens

Common Parties Who Prepare or Request This Affidavit

Typical users span on-site trades to corporate compliance teams requesting sworn confirmation before final payment.

  • Subcontractors and trade contractors who completed scope and need to confirm work or request final payment.
  • General contractors and owners seeking proof of payment status and to clear retainage or close billing.
  • Title companies, lenders, or risk managers who require sworn statements before releasing funds or issuing clearance.

This affidavit reduces ambiguity in payment chains and supports lien waiver processes when accurately completed and notarized.

Core Elements to Include in a Professional Affidavit

A well-drafted affidavit combines project identifiers, a precise description of work, payment details, a sworn statement, signature and notarization, and attachments for supporting documentation to create an auditable record.

Affidavit Header

Project name, address, contract number, and parties identified clearly to avoid ambiguity about which job the statement covers.

Work Description

Brief but specific description of work performed, including dates and locations, to tie the claim to contract line items.

Payment Status

Detailed statement whether amounts are unpaid, partially paid, or fully paid, with invoice numbers and payment dates where applicable.

Lien Waiver Clause

Language describing whether the affidavit serves as a conditional or unconditional lien waiver and any conditions for release of claim.

Sworn Statement

Affirmation under penalty of perjury, signed by an authorized company officer, confirming the truth of the facts stated.

Signature & Notary

Signature block for the signatory plus notary acknowledgement or jurat that meets state notarial requirements.

Step-by-Step: Filling Out the Affidavit

Follow these steps in order to produce a complete, notarizable affidavit ready for submission.

  • 01
Identify the Project: Enter project name, address, and contract number.
  • 02
Describe Work: Summarize services performed with dates and references.
  • 03
State Payment Status: List invoices paid, unpaid, and any retainage amounts.
  • 04
Sign and Notarize: Authorized signer signs; obtain notary or RON as required.

Configuring an Online Affidavit Workflow

Set up fields, authentication, and routing to match your internal payment approval process and legal requirements.

Field Configuration
Signature Field Placement Place signature and date fields near jurat area.
Conditional Fields Show payment details only when 'Amount Due' is nonzero.
Authentication Use email plus SMS code for stronger attribution.
Reminder Schedule Auto-reminders at 3 and 7 days for unsigned forms.

Where to Send or File the Completed Affidavit

Routing depends on the recipient: general contractor, owner, title company, or project file for lender review.

  • To General Contractor: Attach with final invoice or payment request.
  • To Owner: Provide when requested for retainage release.
  • To Title/Lender: Send prior to closing or lien release.
  • Project Records: Keep a notarized copy in contract file.

Digital Signing and File Format Considerations

Ensure the platform supports required authentication, notarization, and export formats before e-submitting.

  • Authentication: Email + SMS or KBA recommended.
  • Notarization Support: RON or e-notary capability required in some states.
  • File Formats: PDF/A or DOCX export for records.

Use a platform that preserves an audit trail, creates a completion certificate, and lets you download signed PDFs for long-term storage.

Penalties and Risks from Incorrect or Misleading Affidavits

Payment Withholding: Owner or GC may withhold funds
Lien Vulnerability: Improper affidavits can complicate lien enforcement
Perjury Exposure: False statements risk criminal penalties
Contract Breach: May trigger breach or termination clauses
Tax Consequences: Incorrect pay records can cause withholding issues
Reputational Harm: Disputes can damage contractor relationships

Common Preparation Errors to Avoid

  • Using an incorrect legal name or mismatched EIN leads to payer rejection and potential backup withholding under IRS rules.
  • Failing to attach supporting invoices, lien waivers, or proof of payment often delays processing and final payment.
  • Skipping notarization or using the wrong notarial form can render the affidavit noncompliant with state requirements.
  • Relying on unsigned or improperly dated affidavits creates evidentiary gaps that complicate dispute resolution.

Security and Compliance Features to Preserve Evidentiary Value

Encryption: TLS 1.2/1.3 | AES-256 at rest
Audit Trail: Timestamp, IP, and action log
Access Controls: Role-based permissions
Notary Records: Retain audio-video for RON
