RECITALS

WHEREAS, Releasor asserts certain claims, demands, causes of action, liabilities, obligations, or controversies, whether known or unknown, suspected or unsuspected, against Releasee that arise from or relate to the facts, transactions, or occurrences described in the attached statement of matters (if any); and

WHEREAS, Releasee denies any liability and the Parties desire to settle and resolve all differences and disputes between them without litigation; and

WHEREAS, in consideration of the mutual covenants and the consideration set forth below, the Parties wish to record their agreement to waive certain rights and claims as set forth herein.

NOW THEREFORE, in consideration of the mutual promises and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

In this Agreement the following terms have the meanings set forth below:

"Claims" means any and all claims, demands, actions, causes of action, suits, debts, dues, sums of money, accounts, reckonings, bonds, bills, specialties, covenants, contracts, controversies, agreements, promises, variances, trespasses, damages, judgments, executions, and liabilities of every kind and nature, whether in law, equity or otherwise, whether known or unknown.

"Released Parties" means Releasee as identified above and its past and present officers, directors, employees, agents, representatives, successors and assigns.

2. WAIVER AND RELEASE

Releasor, on behalf of Releasor and Releasor's heirs, executors, administrators, legal representatives, successors and assigns, hereby fully and forever releases, waives and discharges the Released Parties from any and all Claims, whether known or unknown, that Releasor has, had, may have or may claim to have against the Released Parties arising out of or relating to the facts, acts, omissions or transactions occurring on or prior to the Effective Date.

The Parties intend that this waiver and release be as broad and inclusive as permitted by law. Releasor expressly acknowledges and agrees that this waiver and release includes, without limitation, all Claims that Releasor does not know or suspect to exist in Releasor's favor at the time of executing this Agreement and that, if known, would materially affect Releasor's decision to execute this Agreement. Releasor expressly waives any rights or benefits to which Releasor may be entitled as a result of any applicable statute or rule limiting release of unknown claims.

Releasor further represents that no promise, inducement, or agreement not expressed in this Agreement has been made to Releasor.

6. INDEMNIFICATION

Releasor agrees to indemnify, defend and hold harmless the Released Parties from and against any losses, liabilities, damages, costs and expenses, including reasonable attorneys' fees, arising out of any breach of Releasor's representations, warranties or obligations under this Agreement or any third-party claim related to the matters released herein, provided that Releasee provides prompt written notice of any claim and cooperates in the defense thereof.

7. NO ADMISSION

Nothing in this Agreement shall be construed as an admission of liability or wrongdoing by Releasee, and Releasee expressly denies any liability. This Agreement is executed solely to avoid the expense and uncertainty of litigation.

9. AMENDMENTS; WAIVER

Any modification or amendment to this Agreement must be in writing and signed by both Parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the Party against whom enforcement of the waiver is sought.

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be valid and binding.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice-of-law rules.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement and understanding between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written.

13. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect.
