What the GGA Execution Version Template Is

The GGA Execution Version Template is a standardized execution page for a governing agreement commonly used to record signatures, execution dates, and counterpart provisions. It presents signature blocks, counterpart clauses, and final recital language so multiple parties can execute identical counterparts and create a single binding agreement. The template is formatted for electronic or paper signing and includes fields for authorized signatory names, titles, corporate seals (if required), and delivery instructions to ensure the signed document can be assembled into a complete executed agreement without ambiguity.

Why a Clear Execution Version Matters

A properly prepared execution version reduces ambiguity about parties, signing order, and effective date, and supports enforceability by presenting consistent signature blocks and counterpart language.

Why a Clear Execution Version Matters

Who Typically Completes the Execution Version

Teams who finalize contracts use the execution version to collect authorized signatures and preserve the agreed terms without editing post-signature.

  • In-house legal and contracts teams that ensure signatory authority and clause conformity before execution.
  • Corporate officers or authorized agents that sign on behalf of entities and confirm title lines and corporate authorization.
  • Transaction coordinators or paralegals responsible for assembling counterparts, notarization, and final delivery to stakeholders.

Using a consistent execution template helps accelerate closing, minimizes reconciliation of counterparts, and creates a single record of the executed agreement.

Core Elements to Include in a Professional Execution Version

A complete execution version contains standardized blocks so signatures, dates, and counterpart rules are captured uniformly across parties.

Signature Block

Dedicated lines for printed name, title, entity name, and signature with an adjacent date field and optional corporate seal placeholder for legal clarity.

Counterparts Clause

Language stating that counterparts together constitute one agreement, allowing electronic or separate physical signatures and describing how executed pages are assembled.

Execution Date

A clear effective date field (e.g., 'Effective as of MM/DD/YYYY' or 'as of the last signature date') to avoid disputes about when obligations begin.

Authority Statement

A brief warranty that the signatory is authorized to bind the entity, including references to corporate resolutions if required for later verification.

Delivery Instructions

Instructions for returning executed counterparts, including email addresses, physical addresses, or eDelivery methods for record assembly.

Notarization/Witness

Optional fields for notary acknowledgement, notary jurat, or witness signature lines when the document or jurisdiction requires additional authentication.

Step-by-Step: Finalizing and Executing the Template

Follow these sequential steps to prepare, sign, and assemble the GGA execution version correctly.

  • 01
Prepare Counterparts: Populate signature blocks and confirm effective date.
  • 02
Confirm Authority: Verify signatory authority and obtain corporate resolutions if needed.
  • 03
Choose Signing Method: Decide paper, in-person notarization, RON, or electronic signing workflow.
  • 04
Assemble Final Record: Collect all signed counterparts and create a single executed master copy.

How to Configure an Electronic Execution Workflow

Set up fields and routing to ensure each signatory receives the correct counterpart for signature.

Field Configuration
Signature Field Assign to specific signer; require date on signature.
Order Routing Sequential or parallel delivery based on signing order.
Authentication Choose email, SMS code, or KBA depending on risk.
Audit Trail Enable stamping of IP, timestamp, and action log.

Where to Send or File the Executed Version

Identify final destinations and responsible parties before execution to ensure legal and administrative compliance.

  • Primary Recipient: Send the fully executed master copy to the contracts team for central retention.
  • Counterpart Distribution: Provide each party with a signed counterpart and a copy of the assembled master agreement.
  • Filing Agent: If required, file a notarized copy with county recorder or other local office.
  • Regulatory Filing: Submit any required executed exhibits to regulators or licensors as specified in the agreement.

Digital Signing and File Formats to Support

Choose a signing platform and formats that preserve signature integrity and audit trails across parties.

  • Accepted Formats: PDF and Word DOCX are standard; prefer PDF for final executed copies.
  • Integrations: Platforms should integrate with Salesforce, NetSuite, Google Workspace, and Microsoft 365.
  • Authentication: Support email, SMS OTP, and optional advanced signer verification for higher-risk deals.

Ensure the chosen system exports a tamper-evident PDF with an audit trail and stores copies in secure cloud or on-premise repositories.

Key Deadlines and Timing Expectations

Understand timing milestones so signatures are obtained and filings occur within contractual and regulatory windows.

Signature Completion:

Aim to obtain all signatures within the agreed signing window in the transaction schedule.

Effective Date Clauses:

Confirm whether the agreement is effective on last signature date or a specified earlier date.

Notary Timing:

Schedule notarization to occur on or immediately after signature to prevent delays.

Filing Deadlines:

File any executed exhibits or recorded documents by statutory or contractual deadlines.

Record Assembly:

Assemble and distribute the executed master copy within seven business days of final signature.

Common Preparation Mistakes to Avoid

  • Leaving ambiguous effective date language that creates dispute about when obligations commence and deadlines start to run.
  • Using inconsistent entity names or abbreviations across counterparts, which complicates title verification and public filings.
  • Failing to confirm signatory authority or attach corporate resolutions when required, risking later challenges to validity.
  • Neglecting to include notarization or witness blocks when jurisdictional or document-specific rules require them.

Risks and Consequences of an Incorrect Execution Version

Unenforceability: A mismatched or unsigned counterpart may be ruled unenforceable.
Filing Rejection: Recorder or agency may reject improperly notarized or incomplete documents.
Tax Exposure: Incorrect execution timing can affect tax reporting periods and obligations.
Contract Delay: Missing signatures delay performance and milestone triggers.
Dispute Risk: Ambiguous signatory capacity increases litigation risk.
Recordkeeping Gaps: Poor retention can violate regulatory retention rules.
