GIFT DONATION REQUEST AND AGREEMENT

This Gift Donation Request and Agreement (the Agreement) is made effective as of by and between:

WHEREAS

WHEREAS, Donor Name: desires to make a gift or pledge to Recipient Organization for charitable or program purposes; and

WHEREAS, Recipient Organization: has requested specific gifts and has represented the intended use of such gifts to Donor; and

WHEREAS, the parties wish to set forth the terms and conditions under which the gift shall be delivered, accepted, used and documented.

DONATION DETAILS

SCOPE OF WORK

The Recipient agrees to accept and, subject to the restrictions set forth herein, use or distribute the donated items or funds as described below. Recipient's specific duties, handling, storage, distribution and reporting obligations are set forth in the Scope of Work field.

PAYMENT TERMS (IF MONETARY DONATION)

If Donor pledges funds in addition to or instead of tangible gifts, the parties agree to the following monetary terms.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date or until the parties have performed their respective obligations, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party does not cure such breach within the notice period specified above after written notice. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Except as required by law, Recipient will keep confidential any non-public information provided by Donor that is clearly designated as confidential. Recipient may disclose necessary information to its employees, contractors, auditors or advisors on a need-to-know basis provided such persons agree to confidentiality obligations at least as protective as those herein. This obligation shall survive termination of this Agreement for a period of three (3) years.

DONOR CERTIFICATIONS

Donor represents and warrants that Donor is the lawful owner of the donated items, that the items are free and clear of liens and encumbrances, and that Donor has full authority to transfer title. If Donor is unable to provide clear title, Donor will notify Recipient immediately and will be liable for any costs or damages arising from the defective title.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. No amendment or modification of this Agreement will be effective unless in writing and signed by both parties.
