What a Gift Memo Template Is and When It’s Used

Gift Memo Template is a concise written record that documents the transfer of a gift — monetary or non‑monetary — from a donor to a recipient, organization, or trust. It establishes the parties, description of the gift, intended use or restrictions, effective date, and any tax-related acknowledgements. Commonly used by nonprofits, corporate gift offices, individual donors, and legal counsel, a well‑formed gift memo supports donor intent, internal acceptance policies, and financial recordkeeping. When executed electronically, it must satisfy ESIGN/UETA requirements for intent, consent, attribution, and retention to be enforceable.

Why a Standardized Gift Memo Matters

Use a Gift Memo Template to create a clear, auditable record of a donation or transferred asset, document donor restrictions, and preserve evidence for tax reporting or internal audits. It reduces ambiguity for gift acceptance committees and helps maintain consistent bookkeeping practices.

Why a Standardized Gift Memo Matters

Who Prepares and Relies on Gift Memos

Typical users include donors, nonprofit gift administrators, legal counsel, and finance teams who need standardized documentation of transfers.

  • Donors and family offices documenting charitable or personal property transfers for tax or estate records.
  • Nonprofit development staff tracking restrictions, acknowledgements, and internal gift acceptance approvals.
  • Corporate philanthropy teams recording gifts in-kind, sponsorships, and employee matching contributions.

Accurate completion reduces follow-up questions, supports audits, and provides evidence required for donor acknowledgements and tax substantiation.

Essential Elements to Include in a Gift Memo Template

Core elements of a professional Gift Memo Template ensure clear donor intent, legal clarity, accounting detail, and an auditable trail for acceptance and tax substantiation.

Parties

Name each donor and recipient; include legal entity names, contact information, and signer roles so attribution is clear for acceptance, reporting, and any future inquiries.

Gift Description

Describe the gift precisely: cash amount, securities with CUSIP, physical property with serial numbers, quantity, condition, and any appraisals supporting fair market value for tax substantiation.

Restrictions

List donor-imposed restrictions or designated uses, duration of restriction, reporting expectations, and who enforces the limitation, including criteria for release and periodic reporting requirements.

Consideration

If any consideration or quid pro quo exists, describe its nature and value; expressly state whether the gift is unconditional or subject to return under specified circumstances.

Signatures

Include signature lines for donor, recipient, witness or board officer as required; date signatures and record the signer’s title and authority to bind the organization.

Tax Acknowledgement

State whether the organization provided goods or services in exchange, include valuation statements when applicable, and reference donor acknowledgement language needed for IRC substantiation, per IRS rules.

Common Preparation Mistakes to Avoid

  • Vague gift descriptions that omit quantity, serial numbers, or appraisal details hinder valuation and tax substantiation.
  • Missing donor legal name, inconsistent spellings, or absent EINs can trigger withholding or backup withholding on taxable transfers.
  • Failing to record donor restrictions or reporting commitments leads to compliance problems and potential disputes over fund use.
  • Using handwritten notes without a dated signed memo increases audit risk; lack of retained audit trail complicates evidentiary needs.

Risks and Potential Consequences of Incomplete Memos

Tax Deduction Loss: Insufficient substantiation reduces deduction.
Backup Withholding: Missing TIN may trigger 24% withholding.
Donor Disputes: Unclear restrictions increase litigation risk.
Regulatory Audit: Poor records invite IRS or state audit.
Contractual Breach: Failure to follow restrictions may breach agreement.
Reputational Harm: Misuse of donated assets damages trust.

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest.
Audit Trail: Records timestamps, IPs, and signer actions.
Certifications: SOC 2 Type II, ISO 27001, PCI DSS.
HIPAA: BAA available for covered entities.
eSign Laws: Compliant with ESIGN and UETA.
Tamper Evidence: Signed PDFs are tamper-evident with audit record.
