What a Gift Memorandum Template Is and When It's Used

A Gift Memorandum Template is a concise written statement documenting a donor's intent to transfer ownership or possession of property—cash, securities, real property, or personal items—to a recipient without consideration. It captures donor and recipient names, a clear description of the gift, the effective date, any conditions or revocation rights, and signature blocks. Organizations and advisors use it for charitable acknowledgments, estate planning, internal recordkeeping, and evidence of intent. Where permitted by law, the memorandum may be executed electronically under ESIGN or state e-signature statutes to simplify signing and storage.

Why a Standard Template Matters

A standardized Gift Memorandum Template reduces ambiguity, documents donor intent, supports tax and audit records, and creates a consistent practice for intake and stewardship across an organization.

Why a Standard Template Matters

Who Completes and Relies on a Gift Memorandum

Common users include donors, nonprofit administrators, legal counsel, and institutional gift officers who need a written record of intent.

  • Individual donors documenting one-time or recurring gifts for personal or estate planning purposes.
  • Nonprofit development staff maintaining gift intake records and donor restrictions.
  • Legal or finance teams needing evidence for tax, audit, or compliance reviews.

Standardized templates help these groups capture the same essential information every time, simplifying review, reporting, and stewardship tasks.

Essential Sections to Include in the Template

Organize the memorandum into clear sections—parties, gift description, effective date, conditions, signatures, and retention instructions—to ensure enforceable and auditable records.

Parties

List donor and recipient legal names, business designations, and contact information. Include taxpayer identification if required for tax acknowledgment and match name exactly to ID to avoid reporting issues.

Gift Description

Provide a detailed description of assets being gifted, including quantity, serial numbers, account numbers, or legal description for real property. Avoid vague terms such as 'consideration' or 'value'.

Effective Date

Specify the effective date using MM/DD/YYYY format. This date establishes when title or possession transfers and can affect tax year treatment and statute of limitations timing.

Conditions

Note any conditions, revocation rights, or contingencies tied to the gift. State whether the memorandum is binding or merely evidentiary and reference any separate gift agreement or pledge document.

Signatures

Include signature block for donor and recipient with printed name, title if applicable, date, and capacity (e.g., trustee). Specify witness or notarization requirements if state law or organizational policy requires them.

Retention

State where original and copies will be retained, record retention period, and who has custodial responsibility. Provide instructions for electronic storage and access controls, including backup and disaster recovery procedures.

Step-by-Step: Completing the Template

Follow these steps to complete a Gift Memorandum Template accurately and reduce downstream legal and tax risks.

Prepare: Collect donor ID, recipient info, and asset documentation.

Describe: Detail asset identification, quantity, and conditions.
  • 03

  • 04
Sign: Obtain signatures, witness or notary if required.

Typical Workflow from Draft to Storage

Typical routing: creation, review, signature, storage, and retention — clarify responsibilities at each handoff for auditability.

  • Create: Draft the memorandum and attach detailed asset schedules.
  • Review: Legal and finance verify authority and tax implications.
  • Sign: Execute by donor and recipient with dates.

Common Pitfalls to Avoid

  • Using vague language such as 'reasonable value' makes determining the gift scope difficult and can create disputes over what was transferred.
  • Failing to capture signer capacity or authority—such as agent, trustee, or executor—can render the memorandum ineffective in conveying legal intent.
  • Omitting or misformatting the effective date creates uncertainty about which tax year applies and when legal rights vest.
  • Neglecting ESIGN consumer disclosures or adequate signer authentication can weaken enforceability for consumer-facing gifts and complicate electronic evidence.

Penalties and Practical Risks to Watch

Incorrect TIN: Triggers 24% backup withholding
Gift Tax Exposure: May require Form 709 and tax reporting
Information Penalties: IRC §6721 penalties for incorrect filings
Donor Revocation: Ambiguous language may permit revocation
Invalid Transfer: Memorandum alone may not transfer legal title
Recordkeeping Risk: Missing records undermine audit defense
