What a Gift Service Agreement Covers

A Gift Service Agreement documents the transfer of a gift or donated item in combination with associated services or conditions agreed between the donor and the recipient. It sets the scope of the gift, any donor expectations, timelines for delivery or performance, valuation for tax or accounting purposes, and signatures that bind the parties. The document helps clarify responsibilities for delivery, installation, maintenance, insurance, or ongoing services tied to the gifted item and creates an auditable record for both compliance and internal control.

Why using a formal agreement matters

A written Gift Service Agreement reduces ambiguity, documents agreed consideration and obligations, and supports tax and audit reviews. It protects donor intent, limits liability, and provides a clear roadmap for performance and acceptance between parties.

Why using a formal agreement matters

Typical users and roles for this agreement

Organizations and individuals use a Gift Service Agreement to formalize transfers that include services, ongoing obligations, or conditional acceptance.

  • Nonprofit development teams managing donated assets or sponsored services for programs and events
  • Corporate giving and sponsorship managers documenting gifts tied to promotion, installation, or maintenance
  • Vendors or service providers receiving donated equipment requiring installation, warranty, or ongoing upkeep

Clear role assignments and contact details in the agreement simplify fulfillment and reduce follow-up disputes.

Core elements to include in a professional agreement

A concise agreement is easier to execute and enforce. Include clear recitals, defined obligations, measurable delivery terms, valuation, dispute resolution, and signature blocks to ensure mutual understanding.

Parties & Recitals

Identify donor and recipient by legal name and capacity, and briefly describe the purpose and background of the gift in one explicit recital paragraph.

Scope of Services

Describe services connected to the gift in measurable terms (deliverables, installation steps, acceptance criteria, service windows, and responsible parties) to avoid disputes.

Consideration & Valuation

State the gift value or valuation method for tax and accounting, note any in-kind service valuations, and indicate whether the gift is conditional or unconditional.

Delivery & Acceptance

Specify delivery location, responsible courier or installer, inspection period, acceptance tests, remedies for defects, and who signs off on final acceptance.

Liability & Indemnity

Allocate risk for loss, damage, or third-party claims arising from the gift or related services, and include insurance and indemnity limits appropriate to value and exposure.

Termination & Remedies

Set termination triggers, refund or return procedures, cure periods for breaches, and dispute resolution methods such as mediation or jurisdiction selection.

Common preparation mistakes to avoid

  • Using vague descriptions for the gift or services that leave acceptance criteria undefined and invite later disputes over performance expectations.
  • Failing to capture the correct legal entity names for donor and recipient, which complicates enforceability and tax reporting for both parties.
  • Omitting valuation or citing an inaccurate value, which can create tax reporting exposure or improper financial statements for recipients.
  • Neglecting to specify delivery, installation, or maintenance responsibilities, causing delays, extra costs, and finger-pointing on completion.

Key legal and financial risks

Tax Exposure: Incorrect valuation
Breach Liability: Damages and remediation
Forfeiture Risk: Return of gift
Reputational Harm: Public disputes
Enforceability Issues: Missing signatures
Notarization Omission: Affects certain transfers
