What a Gift Set Agreement Is and When It Applies

A Gift Set Agreement is a written contract that documents the transfer or provision of a packaged set of goods or samples (a “gift set”) between a provider and a recipient. The agreement clarifies what is included in the set, delivery and acceptance terms, ownership transfer, any warranties or restrictions on resale, and tax or reporting obligations. It can be used by manufacturers, retailers, event planners, and corporate gifting programs to reduce disputes and record consideration, shipment, and signature evidence in a single document that both parties sign.

Why documenting a gift set matters

Using a Gift Set Agreement reduces ambiguity about contents, delivery timing, and return or resale restrictions, creates documentary evidence for tax and warranty purposes, and clarifies which party bears shipping and loss risk.

Why documenting a gift set matters

Common parties and situations that use this agreement

Typical users include product manufacturers, retail buyers, corporate procurement, event organizers, and marketing teams who send or receive bundled promotional items.

  • Manufacturers sending branded sample kits to retailers for display or evaluation, documenting transfer and acceptance terms.
  • Retail buyers purchasing curated gift sets for resale or corporate programs, clarifying return rights and warranty obligations.
  • Corporate purchasers distributing employee or client gift sets, covering tax treatment, delivery instructions, and acceptance criteria.

The agreement suits low-value promotional gifts as well as higher-value curated sets where attribution, tax reporting, or resale restrictions matter.

Primary signers and stakeholders

Vendor Manager

A vendor or procurement manager who supplies gift sets and is responsible for item descriptions, shipping terms, and warranty language. This person ensures product accuracy, signs for delivery obligations, and authorizes any credit or replacement terms on behalf of the supplier.

Retail Owner

A retail or corporate buyer who receives the gift set and confirms acceptance, inspection rights, and resale or usage restrictions. The buyer’s signature documents receipt, triggers payment or invoice cycles, and preserves evidence for any tax or consumer disclosure requirements.
