Global Citizen Agreement

This Global Citizen Agreement ("Agreement") is entered into as of Effective Date: by and between Party A (Organization): with principal address , and Party B (Individual/Representative): with principal address .

WHEREAS

WHEREAS, Party A administers programs, initiatives, or activities that promote cross-border civic engagement, cultural exchange, and collaborative projects (the "Programs"), and Party B seeks to participate in or support such Programs as a global citizen, representative, or collaborator; and

WHEREAS, the parties desire to set forth the terms under which Party B will perform services, participate in Programs, or otherwise collaborate with Party A, including obligations related to conduct, intellectual property, confidentiality, and financial arrangements;

WHEREAS, the parties intend that this Agreement govern their respective rights and obligations with respect to the subject matter herein and that any exchange of resources, materials, or funds shall be governed by the payment and confidentiality provisions set forth below.

Scope of Work

Party B shall perform the services and duties described above in a professional manner, in compliance with applicable laws, and consistent with any schedules or milestones provided by Party A. Party B represents and warrants that it has the authority, qualifications, and capacity to perform the Scope of Work.

Payment Terms

Payments shall be made in United States Dollars unless otherwise agreed in writing. If any undisputed payment due hereunder is not received by the due date, the recipient may charge interest as set forth in the Late Payment Fee field above and may suspend performance after providing seven (7) days' written notice, except where prohibited by applicable law.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

Termination for cause may be invoked upon a material breach of this Agreement that remains uncured for the period specified in the Termination for Cause field. Upon termination, parties shall settle all accrued obligations and return confidential materials in accordance with the Confidentiality provisions below.

Confidentiality

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes publicly known through no wrongful act of the receiving party; (b) was in the receiving party's possession prior to receipt from the disclosing party; (c) is lawfully received from a third party without restriction; or (d) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

The receiving party will: (i) hold Confidential Information in strict confidence using at least the same standard of care it uses to protect its own similar confidential information; (ii) restrict disclosure to its employees, contractors, or agents who have a need to know and are bound by confidentiality obligations no less protective than those herein; and (iii) not use Confidential Information except to perform its obligations under this Agreement. Disclosure required by law or valid legal process is permitted provided the receiving party gives prompt notice to the disclosing party and cooperates in any reasonable effort to obtain protective measures.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for resolving disputes arising under this Agreement.

Entire Agreement

This Agreement, together with any exhibits, schedules, or statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Representations and Compliance

Each party represents that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Each party shall comply with all applicable laws, regulations, and export controls in connection with its performance under this Agreement.

Indemnity and Limitations

Each party agrees to indemnify, defend, and hold harmless the other party from and against any third-party claims arising from the indemnifying party's breach of this Agreement, gross negligence, or willful misconduct. Except for liability arising from willful misconduct or a party's breach of confidentiality or indemnity obligations, neither party shall be liable for consequential, incidental, or punitive damages.
