GLOBAL GAMES PARTICIPATION AGREEMENT

RECITALS

WHEREAS, Organizer conducts global competitive events, leagues, exhibitions and related activities (collectively, "Games") and organizes participants, sponsors, and third-party vendors to participate in such Games; and

WHEREAS, Participant desires to participate in specified Games on the terms and conditions set forth in this Agreement, and Organizer is willing to accept Participant under those terms; and

WHEREAS, the parties intend to allocate responsibilities, payment, confidentiality, and risk consistent with the terms below.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. SCOPE OF WORK

Organizer will permit Participant to participate in the Games described below and will provide the services and support reasonably necessary for that participation. Participant will perform its obligations and comply with applicable rules and policies set by Organizer.

2. PAYMENT TERMS

Participant shall pay Organizer the fees set forth below in consideration for participation rights and related services. All payments are due in United States dollars unless otherwise agreed in writing.

If any undisputed amount is not paid within days after the due date, a late fee of % of the overdue amount shall apply, subject to a minimum late fee of .

3. TERM AND TERMINATION

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Section, continues until End Date: .

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the intended termination date. Organizer may terminate immediately for cause if Participant breaches any material term and fails to cure within 10 days of written notice.

4. CONFIDENTIALITY

"Confidential Information" means non-public business, technical, financial, player, or event information disclosed by one party to the other, whether oral or written, that is designated as confidential or that reasonably should be understood to be confidential.

The receiving party shall (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to affiliates, employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein.

The obligations of confidentiality shall not apply to information that (i) is or becomes generally available to the public through no fault of the receiving party, (ii) was in the receiving party's possession prior to receipt from the disclosing party, or (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information. Disclosure compelled by law is permitted only after prior notice to the disclosing party and an opportunity to seek protective measures.

5. LIABILITY, INSURANCE AND INDEMNIFICATION

Each party shall be responsible for its own acts and omissions. Participant agrees to indemnify, defend and hold harmless Organizer and its affiliates from and against any third-party claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising from Participant's willful misconduct or material breach of this Agreement. Except for willful misconduct or breaches of confidentiality, neither party's aggregate liability for direct damages shall exceed the total fees paid under this Agreement in the twelve (12) months preceding the claim.

6. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction and venue of the courts located in that jurisdiction for any dispute arising under this Agreement.

7. ENTIRE AGREEMENT

This Agreement, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any modification must be in writing and signed by both parties.

8. MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor by merger or sale of substantially all assets. Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party designates in writing.
