What a Global Shipping Agreement Covers

A Global Shipping Agreement is a commercial contract that sets terms between parties responsible for transporting goods across domestic and international borders. Typical provisions define parties, scope of services, Incoterms or delivery terms, payment and freight charges, customs clearance responsibilities, insurance and liability limits, packing and documentation requirements, performance milestones, and dispute resolution. When executed correctly it clarifies risk allocation for loss, delay, and customs issues and supports claims and insurance recovery. Electronic execution is generally valid under federal and state e-signature law (15 U.S.C. §7001; UETA as adopted).

Why a Clear Shipping Agreement Matters

A well-drafted agreement reduces ambiguity about responsibilities for transport, customs, insurance, and costs, lowering the risk of disputes and unexpected claims.

Why a Clear Shipping Agreement Matters

Who Typically Prepares or Signs a Shipping Agreement

This agreement is used by commercial shippers, carriers, brokers, and service providers to document operational and legal responsibilities.

  • Freight forwarders and carriers handling international movement and customs clearance.
  • Exporters and importers managing contractual obligations and cost allocation.
  • Logistics managers and procurement teams overseeing shipping performance.

Legal, finance, and insurance teams usually review final language before execution to confirm liability, payment, and compliance clauses.

Primary Signers and Responsible Parties

Logistics Manager

A logistics manager usually prepares or approves operational details, shipment schedules, and performance metrics. They verify carriers, insurance coverage, and documentation to align execution with internal compliance and service-level requirements.

Carrier Legal Counsel

In-house or external counsel for the carrier reviews liability clauses, limitation of liability language, indemnities, and dispute resolution provisions to ensure consistency with applicable carriage laws and commercial risk appetite.

Step-by-step: Complete and Execute a Shipping Agreement

Follow these steps in order to prepare, confirm, and sign a Global Shipping Agreement with clear responsibilities and supporting documents.

  • 01
Gather Information: Collect legal names, cargo details, Incoterms, and insurance specifications.
  • 02
Draft Terms: Define responsibilities, payment terms, shipment windows, and dispute resolution.
  • 03
Review and Approve: Have legal and insurance teams confirm liabilities and coverage.
  • 04
Sign and Distribute: Execute via compliant e-signature; distribute executed copies to stakeholders.

Configure Digital Workflow for Online Completion

Set up a repeatable workflow that enforces fields, authentication, and storage for every shipping agreement.

Field Configuration
Authentication Email link or SMS code; use stronger methods for high-value shipments.
Signature Order Choose sequential or parallel signing based on negotiation flow.
Conditional Fields Show insurance or customs fields only when applicable to shipment type.
Storage Location Save final PDF to secure repository with retained audit trail.

Technical and Format Requirements for eSubmission

Use a platform that preserves PDF integrity, provides an audit trail, and supports common integrations and file formats.

  • File Formats: PDF, DOCX, and HTML supported for upload and signed export.
  • Integrations: Connectors for Salesforce, NetSuite, Google Workspace, and Microsoft 365 are commonly used.
  • Authentication: Options should include email links, SMS codes, and advanced signer verification.

Maintain signed PDFs and audit records in a secure system that supports export to cloud storage or enterprise ECM for regulatory retention.

Typical Digital Signing Flow for a Shipping Agreement

A concise four-step flow that most teams use to complete and archive an electronically signed shipping agreement.

  • Upload: Sender uploads the agreement and maps signature fields.
  • Assign: Sender adds signer emails and sets authentication level.
  • Sign: Signers receive link, authenticate, and apply e-signature.
  • Archive: System saves signed PDF with audit trail and timestamps.

Essential Clauses to Include in a Professional Agreement

Ensure your agreement includes these six core provisions to reduce ambiguity and align commercial and legal responsibilities.

Parties

Full legal names, addresses, and contact details for each contracting entity, plus any agent or broker designation and authority limits.

Scope of Services

Clear description of transport services provided, transit points, handling obligations, and any excluded services or exceptions.

Payment Terms

Rates, invoicing frequency, payment deadlines, late fees, and responsibility for customs duties or port charges.

Incoterms and Delivery

Specify Incoterm version (for example, CIF Incoterms 2020) and precise delivery conditions, transfer of risk, and destination responsibilities.

Liability and Insurance

Caps on liability, required cargo insurance, claims process, and allocation for loss, delay, or damage.

Dispute Resolution

Governing law, forum selection, and whether disputes proceed to arbitration or court, with applicable notice periods.

Frequent Preparation Mistakes to Avoid

  • Using informal or abbreviated legal names that do not match corporate registration, which can delay enforcement and claims.
  • Omitting Incoterm version or delivery point, causing confusion about who pays duties and who bears transit risk.
  • Failing to specify required insurance limits or beneficiary language, complicating cargo loss or damage recovery.
  • Neglecting to attach required shipping documents—commercial invoice, packing list, and bill of lading—needed for customs clearance.

Key Risks from an Incorrect or Incomplete Agreement

Customs Fines: Penalties for misdeclared goods
Loss Liability: Carrier may limit recovery amounts
Insurance Denial: Coverage gaps for improper statements
Delay Costs: Demurrage and detention fees accrue
Contract Disputes: Increased legal fees and arbitration
Regulatory Noncompliance: Sanctions for embargo or export violations

Common Timing and Notice Expectations

Invoice Payment:

Practical Examples of Shipping Agreement Use

Two illustrative scenarios showing how terms and documentation are applied in practice.

Manufacturer to Freight Forwarder

A manufacturer specifies CIF Incoterms 2020 and required insurance limits

  • Freight forwarder confirms carrier and documents
  • The executed agreement reduced disputes by clarifying who pays duties and handles customs clearance, shortening release time at destination.

Importer and Carrier Contract

An importer requires proof of delivery, electronic PODs, and invoice timing

  • Carrier provides electronic POD workflow and KPI reporting
  • Clear payment milestones and a short claims notice window improved cashflow and reduced demurrage disputes.

Practical Tips for Accurate and Efficient Completion

Adopt these practices to minimize disputes and streamline execution for recurring shipping agreements.

Use Precise Incoterms
Specify the exact Incoterms version and delivery point. Ambiguity about delivery location or cost allocation frequently causes carrier and customs disputes.
Verify Entity Names
Match contracting parties to legal registrations and include authorized signatory titles. Mismatches can delay claims or invalidate signature authority.
Attach Required Documents
Include commercial invoice, packing list, and bill of lading as exhibits to avoid customs delays and to support claims or insurance recovery.
Retain Audit Trail
When using e-signatures, preserve a tamper-evident PDF and the signing audit trail for attribution and evidence in any dispute.
