Confidentiality

Each party shall keep confidential all non-public information obtained from the other party in connection with this Agreement, including attendee lists, sponsor agreements, pricing, proprietary operations procedures, and financial terms, and shall not disclose such information except to its employees, agents or contractors on a need-to-know basis or as required by law. Confidential information does not include information that is publicly available other than by breach of this Agreement or information independently developed without use of the other party’s confidential information.

Indemnification

Each party agrees to defend, indemnify and hold harmless the other party, its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorney fees) arising out of the indemnifying party’s negligence, willful misconduct or breach of this Agreement, provided that the indemnified party provides prompt written notice of any claim and cooperates in the defense thereof.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles. Venue for any dispute shall be in the state or federal courts located in the same state.

Entire Agreement
