What a Goodwill Agreement Is and when it applies

A Goodwill Agreement documents the transfer, valuation, and permitted use of intangible business value known as goodwill when ownership or a business unit is sold or restructured. It allocates purchase consideration for goodwill, records any non-compete or non-solicitation undertakings tied to the transfer, and clarifies who retains customer lists, trade names, and related goodwill assets. The agreement supports accounting and tax treatment of the sale, protects buyer and seller rights, and creates an auditable record for regulators and purchasers, particularly where allocation of purchase price affects taxable gain.

Why use a formal Goodwill Agreement

A written Goodwill Agreement reduces ambiguity about what intangible assets transfer, protects both buyer and seller during post-closing integration, and supports accurate tax and accounting reporting. It documents consideration, restrictive covenants, and any carve-outs that affect valuation or enforceability.

Why use a formal Goodwill Agreement

Who typically prepares and signs a Goodwill Agreement

Each signer should have authority to bind their entity and should confirm tax and regulatory impacts before execution.

  • Small business owners negotiating sale terms and allocation between tangible and intangible assets.
  • Corporate M&A teams and acquirers documenting purchase price allocations and restrictive covenants.
  • Attorneys and accountants reviewing valuation, tax consequences, and enforceability of post-closing restrictions.

Core elements to include in a professional Goodwill Agreement

A strong Goodwill Agreement is concise but covers valuation, scope of transferred goodwill, payment terms, restrictions, survival clauses, and remedies for breach.

Parties

Full legal names and business types of seller and buyer, including entity formation details and state of organization.

Transfer Scope

Precise description of what goodwill includes and excludes: customer lists, trademarks, trade names, domain names, and relationships.

Purchase Price

Allocation of consideration to goodwill, payment schedule, escrow terms, and conditions for holdbacks or adjustments.

Covenants

Non-compete, non-solicitation, confidentiality, and territory/duration limits that support transferred goodwill value.

Representations

Seller statements about ownership, absence of encumbrances, and accuracy of customer lists and financials.

Remedies

Remedies, indemnities, and dispute resolution processes, including choice of law and venue provisions.

Step-by-step: completing a Goodwill Agreement

Follow these sequential steps to draft, review, and finalize a Goodwill Agreement with minimal rework.

  • 01
Draft: Identify parties, scope of goodwill, and proposed allocation.
  • 02
Review: Have tax and legal counsel confirm valuation and enforceability.
  • 03
Negotiate: Agree payment terms, covenants, and escrow or holdback details.
  • 04
Execute: Obtain authorized signatures and preserve an executed copy.

Where to send and file the executed Agreement

After execution, route the fully signed agreement to stakeholders and retain copies for tax and corporate records.

  • Seller File: Keep original in corporate records and with accounting.
  • Buyer File: Retain copy for integration and amortization schedules.
  • Tax Advisor: Provide allocation schedule for tax filings.
  • Escrow Agent: Send if purchase involves escrow or holdback.

How to share and sign the Agreement electronically

Ensure the chosen method satisfies ESIGN and applicable state e-signature law and that each signer can reproduce the final signed record.

  • Email Link: Signed via secure link
  • In-person: Kiosk or tablet signing
  • API Upload: Integrate with ERP

Key timing considerations and deadlines

Track dates that affect tax reporting, escrow release, and covenant start/expiry to avoid missed obligations or penalties.

Effective Date:

Controls tax and amortization start.

Payment Schedule Dates:

Trigger transfer of ownership rights.

Escrow Release Date:

Conditions for releasing holdback funds.

Covenant Expiration:

When non-compete obligations end.

Tax Reporting:

Meet IRS reporting deadlines for asset sale.

Common mistakes to avoid when preparing the Agreement

  • Using informal or ambiguous descriptions of transferred goodwill that leave scope disputes for later litigation.
  • Failing to allocate purchase price between goodwill and tangible assets, which can cause IRS reallocation and tax liability.
  • Drafting overbroad restrictive covenants that exceed state enforceability standards and become void.
  • Not confirming the signatory has corporate authority, resulting in challenges to enforceability and potential re-execution.

Penalties, risks, and consequences of incorrect or incomplete agreements

Tax Reallocation: IRS adjustments possible
Enforceability: Overbroad covenants may be void
Contract Disputes: Litigation costs likely
Escrow Forfeiture: Failure to meet conditions
Confidentiality Breach: Loss of customer trust
Signature Defect: Document may be challenged
