RECITALS

WHEREAS, the Contracting Agency requires goods and/or services described in the Scope of Work, and the Contractor has represented that it possesses the qualifications, skills, and resources necessary to perform such goods and/or services; and

WHEREAS, the Contractor agrees to provide such goods and/or services in accordance with the terms, conditions, and specifications set forth in this Contract; and

WHEREAS, the parties desire to set forth the terms governing performance, payment, inspection, and acceptance of the work to be performed.

NOW, THEREFORE

In consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Contract, the following terms shall have the meanings set forth below: "Contracting Agency" means the party identified as Contracting Agency Name; "Contractor" means the party identified as Contractor Name; "Work" means the goods and/or services to be provided by Contractor as described in Section 2 (Scope of Work); "Contract Price" means the total amount payable under Section 4.

2. SCOPE OF WORK

Contractor shall perform the work described in the Scope of Work attached hereto and incorporated by reference. The Scope of Work shall set forth deliverables, milestones, acceptance criteria, and any performance standards. Contractor shall perform the Work in a professional manner, consistent with industry standards and applicable government requirements.

3. TERM; TERMINATION

The term of this Contract shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein. Either party may terminate this Contract for convenience upon providing written notice to the other party at least days prior to the effective date of termination. Termination for cause may be effected immediately where the non‑defaulting party provides written notice of material breach and the breaching party fails to cure within 30 days after receipt of such notice, or such longer period as required by applicable law.

4. PRICE, INVOICING, AND PAYMENT

The Contract Price payable under this Contract shall not exceed $ unless modified by a written amendment executed by both parties. Contractor shall submit invoices in accordance with the invoicing procedures specified in this Section and the Scope of Work. Payment shall be due within days of receipt of an invoice that complies with the requirements of this Contract.

5. STANDARDS OF PERFORMANCE; ACCEPTANCE

Contractor warrants that all Work performed and materials furnished will conform to the Contract, the Scope of Work, and applicable specifications and regulations. The Contracting Agency shall have the right to inspect and test deliverables. Acceptance will be deemed to have occurred upon the Contracting Agency's written acceptance or, where specified, upon completion of the acceptance procedures described in the Scope of Work. Rejected work shall be promptly corrected at Contractor's expense.

6. COMPLIANCE WITH LAWS; REQUIRED CERTIFICATIONS

Contractor shall comply with all applicable federal, state, and local laws, executive orders, regulations, and agency policies in performing the Work, including procurement integrity, nondiscrimination, labor and wage laws, and security requirements. Contractor certifies that it is not debarred or suspended from federal contracts and will notify the Contracting Agency promptly if such status changes during performance.

7. CONFIDENTIALITY AND DATA PROTECTION

Contractor shall maintain the confidentiality of information designated as confidential by the Contracting Agency and shall implement appropriate administrative, physical, and technical safeguards to protect personally identifiable information and other sensitive data. Contractor shall not disclose such information except as required by law or with the Contracting Agency's prior written consent. Upon expiration or termination, Contractor shall return or certify destruction of confidential information in Contractor's possession.

8. INTELLECTUAL PROPERTY

Unless otherwise expressly provided, all deliverables, including reports, designs, software, documentation, and other materials produced under this Contract (the "Deliverables"), shall be the sole property of the Contracting Agency. Contractor hereby assigns and agrees to assign any and all right, title, and interest in such Deliverables to the Contracting Agency. Contractor grants the Contracting Agency an irrevocable, royalty-free, worldwide license to any preexisting Contractor background intellectual property incorporated in the Deliverables, to the extent necessary for the Contracting Agency to fully utilize the Deliverables.

9. INDEMNIFICATION; LIMITATION OF LIABILITY

Contractor shall indemnify, defend, and hold harmless the Contracting Agency and its officers, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from Contractor's negligent acts, omissions, or willful misconduct in the performance of this Contract, or from any claim that the Deliverables infringe a third party's intellectual property rights. Except as to liability for indemnification, gross negligence, or willful misconduct, neither party shall be liable to the other for consequential, incidental, or punitive damages.

10. AUDIT AND RECORDS

Contractor shall maintain complete and accurate records relating to performance and costs under this Contract for a period of years after final payment. The Contracting Agency, or its authorized representatives, shall have the right to inspect and audit such records during normal business hours upon reasonable notice.

11. DISPUTE RESOLUTION

The parties shall attempt in good faith to resolve any dispute arising under this Contract informally. If the dispute is not resolved within 30 days, either party may submit the dispute to mediation. If mediation does not resolve the dispute, the parties retain all rights to pursue available administrative or judicial remedies. During resolution of any dispute, Contractor shall, unless otherwise directed by the Contracting Agency, continue timely performance of the Work.

12. NOTICES

Notices required or permitted under this Contract shall be in writing and delivered to the addresses below by hand, overnight courier, or certified mail, return receipt requested, and shall be deemed given upon receipt or refusal of delivery.

13. AMENDMENTS; WAIVER; COUNTERPARTS

This Contract may be amended or modified only by a written instrument signed by authorized representatives of both parties. No waiver of any provision shall be effective unless in writing and signed by the party waiving compliance. This Contract may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

14. GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the State or Territory where the Contracting Agency is located, excluding its conflict of law rules. The parties consent to the exclusive jurisdiction of the federal and state courts located in that jurisdiction for resolution of disputes arising under this Contract, subject to any applicable administrative remedies required by statute.

15. ENTIRE AGREEMENT; SEVERABILITY

This Contract, including any attachments, exhibits, and incorporated documents, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. If any provision of this Contract is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. MISCELLANEOUS

Contractor shall not assign or subcontract this Contract or any right or obligation hereunder without the prior written consent of the Contracting Agency, which consent shall not be unreasonably withheld. The parties shall perform all further acts and execute and deliver any documents reasonably necessary to carry out the provisions and purposes of this Contract.
