GOVERNMENT SERVICES CONTRACT

This Government Services Contract (Contract No.: ) is entered into as of by and between Contracting Agency: with principal address ("Agency"), and Contractor Name: with principal address ("Contractor").

RECITALS

WHEREAS, Agency requires professional services described herein to support governmental operations, programs, or systems; and

WHEREAS, Contractor represents that it possesses the requisite experience, personnel, facilities and licenses to perform the services and deliverables described in this Contract; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the procurement and performance of those services.

NOW, THEREFORE, in consideration of the mutual promises and covenants set forth below, the parties agree as follows:

1. DEFINITIONS

1.1 "Services" means the work, tasks, and activities Contractor is required to perform under this Contract, including any Deliverables. "Deliverables" means tangible work products, documentation, reports, and software to be provided to Agency as described in Section 2. Terms used in this Contract that are defined in a particular section have the meanings set forth in that section.

2. SCOPE OF SERVICES

2.1 Contractor shall perform the Services and provide the Deliverables in accordance with the requirements, schedules, and performance standards set forth in this Contract and in the statement of work below.

3. PERFORMANCE STANDARDS

Contractor shall perform the Services in a professional and workmanlike manner in accordance with industry standards. Contractor shall meet the response times and service levels set forth herein. Standard response time for priority incidents shall be days and acceptance testing for Deliverables shall be completed within days after delivery unless otherwise agreed in writing.

4. TERM

The term of this Contract shall commence on the Effective Date and shall continue for a period of months, unless earlier terminated in accordance with the termination provisions of this Contract.

5. COMPENSATION

5.1 Agency shall pay Contractor for Services performed and Deliverables accepted in accordance with the rates, not-to-exceed amount, and payment schedule set forth in this Section. The aggregate amount payable under this Contract shall not exceed without prior written amendment.

6. INVOICES AND PAYMENT PROCEDURES

Contractor shall submit itemized invoices to Agency in the form and with the supporting documentation required by Agency. Agency shall pay properly submitted invoices within calendar days after receipt, subject to set-off for defects or claims.

7. RECORDS, AUDIT AND ACCESS

Contractor shall maintain complete and accurate records of all activities, costs, receipts and other information relating to performance under this Contract for a period of years following final payment. Agency, or its authorized representative, shall have the right to inspect, audit and copy Contractor records during normal business hours upon reasonable notice.

8. CONFIDENTIALITY

Contractor shall keep confidential and not disclose any Confidential Information of Agency except to its employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Contract. Confidential Information does not include information that is publicly known other than by breach of this Contract or that is rightfully received from a third party without restriction.

9. INTELLECTUAL PROPERTY

Except as expressly set forth in this Contract, Contractor assigns and hereby assigns to Agency all right, title and interest in and to Deliverables created specifically for Agency under this Contract. Contractor retains all right, title and interest in Contractor's preexisting materials and tools; Contractor grants to Agency a nonexclusive, perpetual, royalty-free license to use any such preexisting materials to the extent incorporated into the Deliverables.

10. DATA SECURITY AND PRIVACY

Contractor shall implement and maintain administrative, technical and physical safeguards to protect Agency data. Contractor shall comply with applicable privacy and data protection laws and shall promptly notify Agency of any security incident affecting Agency data. Security standards to be followed:

Contractor shall not subcontract any portion of the Services without Agency's prior written consent. Subcontracting permitted:

If subcontracting is permitted, Contractor remains fully responsible for performance and compliance with this Contract and shall flow down all material obligations to its subcontractors.

12. INSURANCE

Contractor shall maintain insurance coverage in amounts sufficient to protect Agency from claims arising from Contractor's performance. Minimum coverages shall include Commercial General Liability with a limit of not less than per occurrence and Professional Liability with a limit of not less than . Contractor shall provide certificates of insurance upon request.

13. INDEMNIFICATION

Contractor shall indemnify, defend and hold harmless Agency, its officers, employees and agents from and against any and all claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising out of or resulting from Contractor's negligent acts, errors or omissions in the performance of the Services, except to the extent caused by Agency's gross negligence or willful misconduct.

14. LIMITATION OF LIABILITY

Except for liability arising from Contractor's indemnification obligations, willful misconduct, or violations of law, the total liability of Contractor under this Contract shall not exceed . Neither party shall be liable to the other for any incidental, consequential, or punitive damages.

15. TERMINATION

15.1 For Cause: Either party may terminate this Contract for material breach by the other if the breaching party fails to cure such breach within days after written notice specifying the breach.

15.2 For Convenience: Agency may terminate this Contract for its convenience upon days' prior written notice to Contractor. In case of termination for convenience, Agency shall pay Contractor for Services performed and accepted through the effective date of termination.

16. DISPUTE RESOLUTION

The parties shall attempt in good faith to resolve any dispute arising under this Contract through negotiation between senior representatives. If the parties cannot resolve the dispute within sixty (60) days, the parties may pursue any remedy available at law or equity in a court of competent jurisdiction, subject to the Governing Law clause below.

17. NOTICES

All notices, demands, or communications required or permitted under this Contract shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by written notice in accordance with this Section.

18. AMENDMENTS

This Contract may be amended only by a written instrument signed by duly authorized representatives of both parties. No course of conduct, failure to enforce, or verbal statements shall modify the terms of this Contract.

19. WAIVER

The failure of either party to enforce any provision of this Contract shall not constitute a waiver of that provision or of the right to enforce that provision at a later time.

20. GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Venue for disputes shall lie in the courts of competent jurisdiction located therein.

21. ENTIRE AGREEMENT

This Contract, including all exhibits, attachments and statements of work referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral.

22. SEVERABILITY

If any provision of this Contract is held invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

23. COUNTERPARTS AND EXECUTION

This Contract may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be deemed effective for all purposes.
