Late payments shall bear interest at a rate of on the unpaid balance, to the maximum extent permitted by law.

Term and Termination

Either party may terminate this Agreement for convenience upon giving days' written notice to the other party. Grantor may terminate immediately upon written notice if Grantee materially breaches any term of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is identified as confidential at the time of disclosure or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. The recipient shall hold Confidential Information in confidence and shall not disclose it to third parties except as required by law or as necessary to perform obligations under this Agreement. The confidentiality obligations shall survive termination of this Agreement for years.

Reporting and Records

Grantee shall maintain accurate books and records related to the use of Grant Funds and shall provide reports and supporting documentation to Grantor in accordance with the schedule below.

Grantor shall have the right to audit Grantee's records relating to the Grant Funds upon reasonable notice and during normal business hours.

Representations, Warranties and Indemnification

Each party represents and warrants that it has the full right, power, and authority to enter into and perform its obligations under this Agreement. Grantee shall indemnify, defend and hold harmless Grantor from and against any third-party claims, liabilities, losses, damages, costs and expenses arising from Grantee's negligent or willful acts or breaches of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles.

Entire Agreement

This Agreement, including any attachments or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Notices required under this Agreement shall be in writing and delivered to the contact addresses set forth above. Failure to enforce any provision of this Agreement shall not constitute a waiver of such provision or any other provision.
