GRANT AGREEMENT

RECITALS

1. DEFINITIONS

In this Agreement, unless the context otherwise requires, capitalized terms shall have the meanings set forth in this section and in the body of the Agreement. "Grant Funds" means the monetary amount identified in Section 2. "Project" means the activities described in Schedule A attached hereto and in the Project Description provided by Grantee.

2. GRANT OF FUNDS

Grantor hereby awards to Grantee an award of funds in the total amount of $ ("Grant Funds"), to be used solely for the purposes set forth in this Agreement and the Project Description. Grantee accepts the Grant Funds and agrees to use them in accordance with the terms of this Agreement.

Grantee shall use the Grant Funds exclusively for the Project described as:

4. PAYMENT AND DISBURSEMENT

Grant Funds shall be disbursed in accordance with the schedule below. The first disbursement shall be made upon execution of this Agreement, subject to any conditions precedent set forth herein.

5. TERM

The term of this Agreement shall commence on and shall terminate on unless earlier terminated in accordance with Section 7.

6. REPORTING; RECORDS

Grantee shall submit progress and financial reports to Grantor in the form and at the intervals specified below. Reports shall be truthful, complete and supported by documentation.

Grantee shall retain all books, records, invoices and supporting documentation relating to the use of Grant Funds for a period of years following final payment, and shall permit Grantor or its designee to audit such records upon reasonable notice.

7. TERMINATION

Grantor may terminate this Agreement, in whole or in part, immediately upon written notice if Grantee materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice. Upon termination, Grantee shall promptly return or account for all unexpended Grant Funds in accordance with Grantor's instructions.

8. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it is duly organized, validly existing and in good standing (if an entity); (b) it has full power and authority to enter into and perform this Agreement; and (c) the execution and performance do not violate any applicable law or agreement binding on the party.

9. INDEMNIFICATION

Grantee shall indemnify, defend and hold harmless Grantor and its officers, directors and employees from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of Grantee's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by Grantor's gross negligence or willful misconduct.

10. INSURANCE

During the Term, Grantee shall maintain insurance coverage appropriate to the Project and shall provide certificates of insurance upon Grantor's request.

11. CONFIDENTIALITY

The parties acknowledge that certain information exchanged under this Agreement may be confidential. Neither party shall disclose confidential information of the other except as required by law or with the disclosing party's prior written consent. Confidential information does not include information that is publicly available or independently developed.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand, certified mail, or nationally recognized courier service.

13. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party. This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

MISCELLANEOUS PROVISIONS

The parties agree to cooperate in good faith to carry out the intent of this Agreement. Neither party shall assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Grantor may assign this Agreement to an affiliate or successor in interest.
