WHEREAS, Grantee represents that it has the expertise, capacity, and legal authority to implement the program described in this Agreement and to use the grant funds for the intended purposes; and

WHEREAS, the parties desire to set forth the terms and conditions under which Funder will provide grant funding to Grantee.

Payment Terms

Late Fee: If Funder fails to timely disburse any payment due under this Agreement, and such failure is not a result of Grantee's noncompliance, interest shall accrue at per month on the overdue amount, or the maximum rate allowed by law, whichever is less.

Use of Funds; Budget Modifications

Grantee shall use grant funds solely for allowable expenses directly related to the Scope of Work and in accordance with the budget attached or described in Grantee's proposal. Rebudgeting or material changes to project scope require Funder's prior written approval, which shall not be unreasonably withheld.

Term and Termination

Term Commencement: This Agreement shall commence on and shall terminate on unless earlier terminated in accordance with this Section.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after written notice specifying the breach. Material breaches include misuse of funds, failure to perform material obligations, or insolvency.

Reporting, Records, and Audit

Grantee shall maintain accurate financial records and supporting documentation for all expenditures of grant funds and shall provide interim and final reports as required by Funder. Funder or its authorized representatives shall have the right to audit Grantee's records relating to this Agreement upon reasonable notice and during normal business hours.

Confidentiality

Except as required by law or as necessary to perform obligations under this Agreement, each party shall keep confidential any nonpublic information disclosed by the other party and shall not disclose such information to third parties without prior written consent. Confidential information does not include information that is or becomes publicly available through no breach of this Agreement, or that is independently developed by the receiving party.

Representations, Warranties, and Compliance

Each party represents and warrants that it has the full right, power, and authority to enter into this Agreement and that performance of its obligations will comply with all applicable laws, regulations, and contractual obligations. Grantee further represents that funds will not be used for prohibited activities, and Grantee will obtain and maintain all necessary permits and approvals.

Indemnification and Limitation of Liability

Grantee shall indemnify, defend, and hold harmless Funder and its officers, directors, agents, and employees from and against any claims, liabilities, losses, or expenses (including reasonable attorneys' fees) arising out of Grantee's breach of this Agreement, negligence, willful misconduct, or misuse of grant funds. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, EXCEPT FOR LIABILITY ARISING FROM FRAUD, WILLFUL MISCONDUCT, OR GROSS NEGLIGENCE.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement; Amendments

This Agreement, together with any attachments, exhibits, or budgets incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand delivery, certified mail (return receipt requested), or overnight courier, and shall be effective upon receipt.

Grantee shall retain all records pertaining to expenditures of grant funds for a period of at least three (3) years following final payment or such longer period as required by law. Funder shall have the right to inspect and audit such records and the performance of the grant-supported activities during normal business hours upon reasonable advance notice.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent and nothing in this Agreement creates a partnership, joint venture, or agency relationship.
