Grantor reserves the right to inspect records and to audit financial statements and supporting documentation related to expenditures of award funds. Grantee shall retain all records for a period of three years following final payment unless otherwise required by law.

To the extent either party discloses confidential, proprietary, or nonpublic information to the other in connection with this Grant, the receiving party shall (i) maintain such information in strict confidence; (ii) use the information only for purposes of performance under this Grant; and (iii) not disclose such information except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Confidential information does not include information that is or becomes public other than by breach of this provision.

GOVERNING LAW; COMPLIANCE

This Grant Notice shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Grantee shall comply with all applicable federal, state, and local laws, rules, regulations and policies in performance of the project.

ENTIRE AGREEMENT

This Grant Notice, together with any attachments, appendices and incorporated documents identified herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written.
