WHEREAS

WHEREAS, Grantor has obtained funds and authority to carry out certain programs and desires to make a portion of those funds available to qualified subrecipients to carry out a described scope of work under the terms of the prime grant agreement; and

WHEREAS, Subgrantee represents that it has the capacity, qualifications, and personnel to perform the services and obligations described herein and agrees to comply with all applicable laws, regulations, and the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the funds, performance, reporting, and oversight applicable to the subaward.

Either party may terminate this Agreement for convenience upon days' written notice to the other party. Grantor may suspend or terminate funding immediately for material noncompliance, misuse of funds, or as otherwise provided in this Agreement.

Use of Funds; Compliance

Subgrantee shall use funds solely for activities authorized under this Agreement and consistent with the budget and allowable cost principles applicable to the prime award. Subgrantee shall comply with all applicable federal, state, and local laws and regulations, and any conditions of the prime award that flow down to subrecipients.

Reporting, Records and Audit

Subgrantee shall submit reports as specified in the payment schedule and shall maintain complete and accurate financial and programmatic records supporting all charges and activities. Records shall be retained for a period of not less than three years after final payment unless a longer retention period is required by law.

Grantor and/or authorized auditors shall have the right to inspect and audit Subgrantee records and performance, with reasonable notice, during normal business hours and upon reasonable notice.

Confidentiality

Confidential Information means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Subgrantee shall protect Confidential Information using at least the same degree of care it uses to protect its own confidential information and shall not disclose Confidential Information except to its employees or contractors who have a need to know and who are bound to confidentiality obligations at least as protective as those in this Agreement. Confidentiality obligations survive termination for a period of three years unless otherwise required by law.

Representations, Warranties and Indemnification

Each party represents that it has authority to enter into this Agreement. Subgrantee warrants that services will be performed in a professional manner in accordance with industry standards. Subgrantee shall indemnify, defend, and hold harmless Grantor, its officers, agents, and employees from claims, liabilities, losses, and expenses arising from Subgrantee's negligent acts or willful misconduct, excluding liabilities arising from Grantor's sole negligence or willful misconduct.

Insurance

Subgrantee shall maintain insurance coverage customary for the scope of work, including commercial general liability and, if applicable, professional liability, workers' compensation, and automobile liability. Upon request Subgrantee shall provide certificates evidencing such coverage.

Modifications; Assignment

This Agreement may be amended only by a written instrument signed by both parties. Subgrantee shall not assign or subcontract its obligations without the prior written consent of Grantor. Any permitted subcontract shall be subject to the terms of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state identified by the Grantor's principal place of business. Any dispute arising under this Agreement shall be resolved through good faith negotiation between the parties, and if unresolved, by binding arbitration or litigation as specified by the Grantor's administrative policies.

Entire Agreement

This Agreement, including any attachments, exhibits, and incorporated prime award terms, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, oral or written.

Certifications and Special Terms

Subgrantee certifies that it will comply with all applicable non-discrimination laws, procurement standards, and conflict of interest policies. Subgrantee further certifies that it is not debarred or suspended from contracting with governmental entities. Material false statements shall constitute a breach of this Agreement.
