GROUP EVENT AGREEMENT

This Group Event Agreement ("Agreement") is entered into as of by and between the parties set forth below.

WHEREAS, Host agrees to provide the Venue, services, and support for the Event under the terms set forth in this Agreement and Organizer agrees to pay the fees and comply with Host's rules and venue requirements.

Late Payment: Any undisputed amount not paid within five (5) days after its due date shall accrue a late fee of per month or the maximum permitted by law, whichever is less, plus any collection costs incurred by the other party.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within days after written notice. For convenience, either party may terminate upon days' prior written notice to the other party.

CONFIDENTIALITY

Each party agrees that all non-public information disclosed by one party to the other relating to pricing, attendee lists, marketing plans, proprietary services, or other business information (collectively, "Confidential Information") shall be kept confidential and used solely for the purposes of performing this Agreement.

Confidential Information does not include information that: (a) is or becomes generally known to the public through no fault of the receiving party; (b) was in the receiving party's lawful possession prior to receipt; (c) is independently developed by the receiving party without use of Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives prompt written notice and reasonably cooperates with the disclosing party's efforts to limit disclosure.

INSURANCE AND INDEMNIFICATION

Host shall maintain general liability insurance covering the Event and shall provide proof of insurance upon request. Organizer shall indemnify, defend, and hold Host harmless from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Organizer's acts, omissions, attendees, or breach of this Agreement, except to the extent such claims arise from Host's gross negligence or willful misconduct.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform its obligations under this Agreement (other than payment obligations) if prevented by events beyond its reasonable control, including acts of God, governmental action, labor disputes, epidemics, severe weather, or other similar events. The affected party shall provide prompt notice and shall use commercially reasonable efforts to resume performance.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

This Agreement, including any exhibits, schedules, and attachments executed by the parties, constitutes the entire agreement between the parties concerning the Event and supersedes all prior understandings and agreements, whether written or oral, relating to the subject matter hereof. Any modification must be in writing and signed by both parties.

MISCELLANEOUS

Notices required under this Agreement shall be in writing and delivered to the addresses set forth above. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
